1. Agreement

By purchasing any coaching services, products, memberships, or packages from Guide of Meda, LLC, dba Mindfully Coached (the "Organizer"), you (the "Client" or "Member") agree to these terms and conditions.

2. Services & Offerings

This agreement applies to all services and products offered, including but not limited to: one-on-one coaching sessions, "The Wisdom Way" coaching package, biweekly coaching subscriptions, independent coaching guides, courses, meditations, and the Sovereign Seeker Hall Membership (including the Innerwise & Woo premium newsletter).

3. Payments & Refunds

All payments are non-refundable.

• Digital Content & Memberships: Due to the immediate access provided to the Sovereign Seeker Hall digital library, proprietary materials, and premium newsletter archives, no refunds will be issued for memberships (Monthly or Annual) or any digital downloads.
• Coaching: Payments for coaching packages or One-on-One sessions are due in full or via an agreed-upon payment plan at the time of purchase.

4. Membership & Subscription Terms (Sovereign Seeker Hall)

• Access License: Membership provides a limited-time, non-transferable license to access all digital materials—including videos, written teachings, and strategy frameworks. This access is contingent upon an active, paid subscription.
• Live Session Recordings: All live community sessions, briefings, and workshops are recorded. The Organizer reserves the right to record, archive, and distribute these sessions at their sole discretion, including but not limited to: posting replays within the membership portal, using clips for marketing and promotional purposes, or repurposing content for future products. By participating in live sessions, you consent to being recorded and agree that the Organizer holds all rights to the resulting media.
• Cancellation: You may cancel your membership at any time through your account settings to prevent future billings. Access remains until the end of your current paid billing cycle, at which point access to the Hall portal and all proprietary content will be revoked.
• Third-Party Platforms (Substack): Premium newsletter content is delivered via Substack. It is the Member’s responsibility to utilize the Substack platform to receive these benefits.
• Manual Onboarding: Please allow 24–48 hours for manual synchronization of your email to the premium newsletter list.
• Conduct & Removal: The Organizer reserves the right to terminate any membership immediately, without refund, if a Member violates the privacy of the community, harasses other members, or breaches the Intellectual Property terms outlined in Section 8.

5. Nature of Coaching & Membership

• Self-Discretion: Use of any information is at the Member's own discretion. The Organizer does not guarantee specific results or "transformations."
• Not Professional Advice: Coaching and spiritual direction are not therapy or medical advice. The Organizer is not liable for any decisions made or actions taken based on membership materials.

6. Client & Session Cancellation (1-on-1 Coaching)

You must provide at least 24 hours’ notice to reschedule a coaching session. Failure to do so results in a "no show" and forfeiture of that session.

7. Confidentiality

Both the coach and the client must respect the privacy of sessions and private community discussions. If information is shared suggesting a risk of harm to yourself or another, it is our ethical responsibility to notify the appropriate parties.

8. Intellectual Property

All materials, including but not limited to videos, live session recordings, text, frameworks, and newsletters, are the proprietary intellectual property of Guide of Meda, LLC.

Prohibited Acts: Sharing login credentials, downloading for redistribution, recording live sessions on personal devices, or sharing private community discussions outside the Sovereign Seeker Hall is strictly prohibited.

The Consequence: Violation of these intellectual property and confidentiality rights constitutes a material breach of this agreement and will result in immediate termination of access without a refund.

9. Limitation of Liability & Dispute Resolution

Guide of Meda, LLC is not liable for any decisions you make based on your participation. Disputes will be submitted to binding arbitration in Dallas, Texas. Both parties waive rights to a jury trial. This agreement is governed by the laws of Texas.

10. Acceptance

By completing your purchase, you acknowledge that you have read, understand, and agree to these terms and conditions.
