This Agreement is made on

Producer: SandyGH

Client:

1. License Grant

The Producer grants the Client non-exclusive rights to the following beat: Close My Eyes

These rights include streaming, distribution, and public performances. As well in use of commercial releases and promotional materials.

The total usage is capped at 

1,000,000 combined streams, downloads, and performances.

8000 Album sales/single/merch etc

2. Payment

The Client agrees to pay the Producer for this lease.

3. Delivery

The Producer will deliver high-quality MP3 or WAV files for the beat upon receipt of payment. Your Preference

4. Royalty Split

The Producer retains 50% of publishing royalties for all works created with the licensed beats.

5. Restrictions

The Client agrees:

Resell, lease, or distribute the original beat files to others.

Upload or monetize the beat alone (without vocals or added production).

Register the beat or instrumental in any content-ID or copyright system.

Claim exclusive ownership of the production.

6. Term

This lease is valid for 5 years or until the usage cap (1,000,000) is reached, whichever comes first. At that point, the Client may renew or renegotiate the lease.

7. Credit The Client must credit the Producer as:

“Prod. by SandyGH”

on all public releases, uploads, or promotional materials.

8. Samples and Third-Party Content 

Some beats may include samples, loops, or sounds sourced from royalty-free libraries.

If any beat contains a non-cleared sample (for example, a recognizable portion of a copyrighted song)

The Client is solely responsible for obtaining sample clearance before commercial release.

The Producer is not liable for any legal issues or copyright claims that may arise from such samples.

The Producer will disclose, to the best of their knowledge, if a beat contains a non-cleared sample.

9. Governing Law

This agreement shall be governed by the laws of the United States.
