SOGGY BEATS – EXCLUSIVE BEAT LICENSE AGREEMENT

Producer: Soggy Beats ("Licensor")

Artist/Purchaser: The individual or entity purchasing this license ("Licensee")

By purchasing, downloading, receiving, or using the instrumental beat, the Licensee agrees to the following terms and conditions.

1. GRANT OF EXCLUSIVE LICENSE

Upon payment in full, Soggy Beats grants the Licensee an exclusive commercial license to use the purchased instrumental for the creation of one (1) new musical composition.

Following the purchase of an Exclusive License:

Soggy Beats will immediately discontinue all future non-exclusive sales and licensing of the instrumental.
Any non-exclusive licenses sold before the Exclusive License purchase shall remain valid and enforceable.
Ownership of the underlying copyright remains with Soggy Beats unless transferred under a separate written Copyright Assignment Agreement.

2. FILES INCLUDED

The Exclusive License includes:

One (1) High-Quality MP3 File
One (1) High-Quality WAV File
Full STEM Files (Master ON/OFF - individual track exports)
Untagged Instrumental
Exclusive Commercial Usage Rights

Project files (FLP, Ableton, Logic, etc.) are not included unless expressly agreed upon in writing.

3. USAGE RIGHTS

The Licensee may:

Record vocals over the instrumental.
Commercially release one (1) song.
Distribute the song worldwide.
Upload the song to all streaming services.
Monetize the song across all digital platforms.
Create unlimited music videos.
Perform the song live without limitation.
Use the song for commercial promotion.
Submit the song to record labels, playlists, blogs, radio stations, and media outlets.
Professionally mix and master the song using the supplied STEM files.

4. STREAMING LIMITATIONS

This license permits:

Unlimited audio streams

across all streaming services including Spotify, Apple Music, Amazon Music, YouTube Music, SoundCloud, Deezer, Tidal, and similar platforms.

5. VIDEO LIMITATIONS

This license permits:

Unlimited music videos
Unlimited video views

across YouTube, TikTok, Instagram, Facebook, Vimeo, and all comparable video platforms.

6. DISTRIBUTION LIMITATIONS

The Licensee may distribute:

Unlimited copies

of the licensed song in both digital and physical formats.

This includes but is not limited to:

Digital downloads
CDs
Vinyl
USB releases
Physical albums
Digital albums

7. LIVE PERFORMANCE RIGHTS

The Licensee may perform the licensed song at:

Unlimited live performances

including concerts, clubs, festivals, showcases, tours, competitions, private events, and promotional appearances.

8. RADIO & BROADCASTING RIGHTS

This license permits:

Unlimited local radio broadcasts
Unlimited regional radio broadcasts
Unlimited national radio broadcasts
Unlimited internet radio broadcasts
Unlimited satellite radio broadcasts
Unlimited podcast broadcasts

9. SYNCHRONIZATION RIGHTS

This license permits synchronization for:

Independent films
Web series
Online commercial advertisements
YouTube productions
Social media advertisements
Independent documentaries

Synchronization for major motion pictures, television network productions, AAA video games, and national advertising campaigns requires a separate written agreement with Soggy Beats.

10. COPYRIGHT OWNERSHIP

The instrumental, STEM files, WAV file, MP3 file, melodies, drum compositions, arrangements, and all associated production elements remain the exclusive intellectual property of Soggy Beats.

The Licensee receives exclusive commercial usage rights only.

Ownership of the underlying instrumental copyright is not transferred unless explicitly stated in a separate written Copyright Assignment Agreement.

11. PUBLISHING RIGHTS

Soggy Beats retains:

50% of all publishing rights

associated with the composition.

The remaining 50% publishing interest belongs to the Licensee for their original lyrical and vocal contributions.

12. PERFORMANCE RIGHTS

Soggy Beats retains all applicable writer's and publisher's shares of public performance royalties generated through performing rights organizations, broadcasts, streaming services, and public performances.

13. CONTENT ID

The Licensee may register the completed song (not the instrumental itself) with:

YouTube Content ID
Facebook Rights Manager
TikTok Rights Manager
Audible Magic
Other digital fingerprinting services

provided such registration does not interfere with any valid non-exclusive licenses sold prior to the Exclusive License purchase.

14. PROHIBITED USES

The Licensee may not:

Sell or redistribute the instrumental by itself.
Sell or redistribute the STEM files.
Create new beats using the STEM files.
Upload the instrumental as a standalone product.
Claim ownership of the underlying instrumental copyright.
Use the instrumental or STEM files for artificial intelligence or machine learning training without written permission from Soggy Beats.

15. CREDIT REQUIREMENT

Where reasonably possible, the Licensee agrees to credit:

"Produced by Soggy Beats"

within streaming platform credits, metadata, album credits, video descriptions, and promotional materials.

16. LICENSE UPGRADES

This is the highest commercial license offered by Soggy Beats.

No further license upgrades are available.

Should the Licensee wish to purchase the underlying copyright to the instrumental, a separate Copyright Assignment Agreement must be negotiated and executed.

17. REFUND POLICY

All purchases are final.

Due to the digital nature of the products, no refunds, exchanges, cancellations, or chargebacks will be accepted.

All purchased files are delivered untagged.

18. TERMINATION

Violation of any provision of this agreement immediately terminates all rights granted under this license.

Soggy Beats reserves the right to pursue all available legal remedies for copyright infringement and unauthorized commercial use.

19. PRIOR NON-EXCLUSIVE LICENSES

The Licensee acknowledges that any Standard, Premium, or Stems Licenses sold prior to the purchase of this Exclusive License shall remain valid.

Soggy Beats shall not be liable for any lawful use of the instrumental by previous license holders operating within the terms of their agreements.

20. ACCEPTANCE

By purchasing, downloading, receiving, or using the instrumental, the Licensee acknowledges that they have read, understood, and agreed to all terms and conditions contained within this agreement.
