SOGGY BEATS – PREMIUM BEAT LICENSE AGREEMENT

Price: $39.95

Producer: Soggy Beats ("Licensor")

Artist/Purchaser: The individual or entity purchasing this license ("Licensee")

By purchasing, downloading, receiving, or using the instrumental beat, the Licensee agrees to the following terms and conditions.

1. GRANT OF LICENSE

Upon payment in full, Soggy Beats grants the Licensee a non-exclusive, non-transferable, limited license to use the purchased instrumental for the creation of one (1) new musical composition.

This license does not transfer ownership of the instrumental. Soggy Beats retains all ownership rights, copyrights, and intellectual property rights to the instrumental.

2. FILES INCLUDED

The Premium License includes:

One (1) High-Quality MP3 File
One (1) High-Quality WAV File
Untagged Instrumental
Non-Exclusive Usage Rights

No STEM files, project files, or exclusive rights are included with this license.

3. USAGE RIGHTS

The Licensee may:

Record vocals over the instrumental.
Create and commercially release one (1) song using the instrumental.
Upload the song to all major digital streaming platforms.
Monetize streaming platforms and social media.
Sell the song subject to the limitations outlined in this agreement.
Perform the song live.
Create and monetize music videos.
Use the song for commercial and promotional purposes.

4. STREAMING LIMITATIONS

This license permits up to:

250,000 total audio streams

across all streaming platforms including but not limited to Spotify, Apple Music, SoundCloud, Tidal, Amazon Music, Deezer, YouTube Music, and similar services.

If this limit is exceeded, the Licensee must purchase a higher-tier license before continued commercial exploitation.

5. VIDEO LIMITATIONS

This license permits:

Up to Two (2) music videos
Up to 250,000 combined video views

across YouTube, TikTok, Instagram, Facebook, Vimeo, and similar platforms.

Any additional music videos or views beyond these limits require a license upgrade.

6. DISTRIBUTION LIMITATIONS

The Licensee may distribute up to:

10,000 total copies

of the song in physical and digital formats.

This includes, but is not limited to:

Digital downloads
CDs
Vinyl
USB releases
Physical albums
Digital albums

Distribution beyond these limits requires a Stems or Exclusive License.

7. LIVE PERFORMANCE LIMITATIONS

The Licensee may perform the song at:

Up to 50 live performances

including concerts, clubs, festivals, showcases, competitions, and similar events.

8. RADIO & BROADCASTING LIMITATIONS

This license permits:

Up to 10 radio station broadcasts
Local and regional radio airplay
Internet radio broadcasts
Online radio stations

National commercial radio campaigns, television broadcasts, film synchronization, and major advertising campaigns require a Stems or Exclusive License.

9. COPYRIGHT OWNERSHIP

The instrumental remains the exclusive intellectual property of Soggy Beats.

The Licensee acquires usage rights only.

Ownership of the instrumental is never transferred.

10. PUBLISHING RIGHTS

Soggy Beats retains:

50% of all publishing rights

associated with the composition.

The Licensee retains the remaining 50% publishing interest attributable to their original lyrical and vocal contributions.

11. PERFORMANCE RIGHTS

Soggy Beats retains all applicable writer's and publisher's shares of performance royalties generated from broadcasts, streams, public performances, and collections through performing rights organizations.

12. CONTENT ID

The Licensee may not register the instrumental or derivative work with:

YouTube Content ID
Facebook Rights Manager
TikTok Rights Manager
Audible Magic
Any digital fingerprinting or copyright claim service

without prior written permission from Soggy Beats.

13. PROHIBITED USES

The Licensee may not:

Sell or redistribute the instrumental.
Share the WAV file with third parties.
Upload the instrumental by itself.
Claim ownership of the instrumental.
Register the instrumental as their own copyrighted work.
Lease, sublicense, transfer, or assign this license.
Use the instrumental in AI training datasets or machine learning systems.
Create derivative instrumentals for resale.

14. CREDIT REQUIREMENT

Where reasonably possible, the Licensee agrees to credit:

"Produced by Soggy Beats"

within streaming platform credits, song metadata, video descriptions, album credits, and other applicable locations.

15. LICENSE UPGRADES

The Licensee may upgrade to a higher-tier license at any time, subject to availability.

To upgrade, the Licensee shall pay the difference between the original purchase price paid and the current listed price of the desired license. Proof of the original purchase may be required.

Upon completion of the upgrade purchase, the new license shall immediately supersede and replace the previous license.

If the instrumental has already been sold under an Exclusive License, no further license upgrades will be available.

16. REFUND POLICY

All purchases are final.

Due to the digital nature of the products, no refunds, exchanges, or chargebacks will be provided.

All purchased files are delivered untagged.

17. TERMINATION

Failure to comply with any provision of this agreement immediately terminates the Licensee's rights granted under this license.

Soggy Beats reserves the right to pursue legal remedies for copyright infringement or unauthorized use.

18. EXCLUSIVE RIGHTS

This is a non-exclusive license.

Soggy Beats retains the right to continue selling, licensing, promoting, and distributing the instrumental to other artists unless and until an Exclusive License has been purchased.

19. ACCEPTANCE

By purchasing, downloading, receiving, or using the instrumental, the Licensee acknowledges that they have read, understood, and agreed to all terms contained within this agreement.
