Producer: Soggy Beats ("Licensor")

Artist/Purchaser: The individual or entity purchasing this license ("Licensee")

By purchasing, downloading, receiving, or using the instrumental beat, the Licensee agrees to the following terms and conditions.

1. GRANT OF LICENSE

Upon payment in full, Soggy Beats grants the Licensee a non-exclusive, non-transferable, limited license to use the purchased instrumental for the creation of one (1) new musical composition.

This license does not transfer ownership of the instrumental. Soggy Beats retains all ownership rights, copyrights, and intellectual property rights to the instrumental.

2. FILES INCLUDED

The Standard License includes:

One (1) High-Quality MP3 File
Untagged Instrumental
Non-Exclusive Usage Rights

No WAV files, STEM files, project files, or exclusive rights are included with this license.

3. USAGE RIGHTS

The Licensee may:

Record vocals over the instrumental.
Create and distribute one (1) song using the instrumental.
Upload the song to digital streaming platforms.
Sell the song subject to the limitations outlined in this agreement.
Perform the song live.
Monetize videos containing the song.
Use the song for promotional purposes.

4. STREAMING LIMITATIONS

This license permits up to:

100,000 total audio streams

across all streaming platforms including but not limited to Spotify, Apple Music, SoundCloud, Tidal, Amazon Music, Deezer, and similar services.

Once this limit is reached, the Licensee must purchase an upgraded license before further exploitation of the song.

5. VIDEO LIMITATIONS

This license permits:

One (1) music video

with up to:

100,000 total video views

across all platforms including YouTube, Vimeo, TikTok, Instagram, Facebook, and similar services.

Additional videos or views beyond these limits require a license upgrade.

6. DISTRIBUTION LIMITATIONS

The Licensee may distribute up to:

2,500 total copies

of the song in physical or digital formats.

Examples include:

Digital downloads
CDs
USB releases
Physical albums
Digital albums

Distribution exceeding these limits requires an upgraded license.

7. LIVE PERFORMANCE LIMITATIONS

The Licensee may perform the song live at:

Up to 10 live performances

including concerts, showcases, clubs, festivals, and similar events.

Additional performances require an upgraded license.

8. RADIO & BROADCASTING LIMITATIONS

The Licensee may receive:

Up to 2 radio station broadcasts

and local radio airplay.

National radio campaigns, major commercial radio rotations, television broadcasts, or widespread broadcasting require a Premium, Stems, or Exclusive License.

9. COPYRIGHT OWNERSHIP

The instrumental remains the sole property of Soggy Beats.

The Licensee receives usage rights only.

No ownership rights are transferred through the purchase of this license.

10. PUBLISHING RIGHTS

Soggy Beats retains:

50% of all publishing rights

associated with compositions created using the instrumental.

The Licensee retains the remaining 50% publishing interest attributable to their contribution.

11. PERFORMANCE RIGHTS

Soggy Beats shall remain entitled to their writer's share and publisher's share of performance royalties generated through public performances, broadcasts, streaming services, and performing rights organizations.

12. CONTENT ID

The Licensee may not register the instrumental or any song created using the instrumental with:

YouTube Content ID
Facebook Rights Manager
TikTok Rights Management
Any copyright claim or fingerprinting service

without written permission from Soggy Beats.

13. PROHIBITED USES

The Licensee may not:

Claim ownership of the instrumental.
Resell the instrumental.
Redistribute the instrumental.
Upload the instrumental by itself.
Lease, sublicense, or transfer the license.
Register the instrumental as their own copyright.
Use the instrumental for AI training datasets or machine learning purposes.
Alter the instrumental and claim ownership of the underlying composition.

14. CREDIT REQUIREMENT

Where reasonably possible, the Licensee agrees to credit:

"Produced by Soggy Beats"

in song descriptions, metadata, streaming platform credits, and video descriptions.

15. LICENSE UPGRADES

The Licensee may upgrade to a higher-tier license at any time, subject to availability.

To upgrade, the Licensee shall pay the difference between the original purchase price paid and the current listed price of the desired license. Proof of the original purchase may be required.

Upon completion of the upgrade purchase, the new license shall immediately supersede and replace the previous license.

If the instrumental has already been sold under an Exclusive License, no further license upgrades will be available.

16. REFUND POLICY

All purchases are final.

Due to the digital nature of the products, no refunds, exchanges, or chargebacks will be provided.

All purchased files are delivered untagged.

17. TERMINATION

Any violation of this agreement immediately terminates the Licensee's rights to use the instrumental.

Soggy Beats reserves the right to pursue legal remedies for unauthorized use.

18. EXCLUSIVE RIGHTS

This is a non-exclusive license.

Soggy Beats reserves the right to continue licensing, selling, distributing, and exploiting the instrumental unless and until an Exclusive License is sold.

19. ACCEPTANCE

By purchasing, downloading, receiving, or using the instrumental, the Licensee acknowledges that they have read, understood, and agreed to all terms contained in this agreement.
