AIWM Global Audio Systems & Solutions LLC provides commercial music licensing systems & solutions through two distinct service categories:

1.1 Digital Music Products (Enterprise Audio Systems & Solutions)

AI-generated, ready-to-use high fidelity Instrumental masters. Non-exclusive, royalty-free licensing for life. Signed no-resale guarantee — your masters will not be re-sold. Commercial use permitted with limitations.

1.2 Custom Music Creation (Enterprise Songs & Jingles)

Exclusive-use audio with original lyrics written and/or performed by AIWM. Clients may register lyrical components with PROs (e.g. ASCAP, BMI) under their name. Clients may not register instrumental tracks, claim full authorship, or submit AIWM works as "works for hire."

⚠ Note: All AI-generated instrumentals may have similar versions generated for other users due to the nature of generative models.

2.1 Beat Pack License — Non-Exclusive

Each digital music product purchase includes a Non-Exclusive, Perpetual, Royalty-Free License:

• Multiple platform distribution · Commercial use allowed
• AIWM Signed No-Resale Guarantee
• Synchronization rights included (films, TV, ads, games, online video)

Permitted Uses: YouTube (monetized or not), social media, podcasts, live streams, business ads, promos, branding assets, films, games, personal creative work.

Prohibited Uses: Transferring or sublicensing to others · Claiming exclusive rights or copyright · Submitting to YouTube Content ID, Spotify, ASCAP/BMI · Using in AI training, NFTs, or blockchain applications.

2.2 Custom Song License — Exclusive

Custom music projects with lyrics include an Exclusive License to the completed song as a unit (beat + lyrics + vocals). Clients receive exclusive commercial rights, synchronization rights, and may register lyrical elements with a PRO.

2.3 Definition of Lifetime Use

"Lifetime Use" means the full operational life of the purchasing business entity (if purchased under a business name), or the natural life of the individual purchaser. This license is strictly non-transferable and may not be assigned, sold, gifted, inherited, or sublicensed.

AIWM Global Audio Systems & Solutions LLC welcomes clients worldwide and provides global licensing rights subject to applicable laws and regulations.

Prohibited Parties: Clients located in countries subject to U.S. sanctions (Cuba, Iran, North Korea, Syria, Russia, or other restricted territories), or listed on U.S. government denied parties lists (OFAC SDN List, BIS Entity List, etc.) are not eligible to purchase.

By purchasing, clients certify they will not use content in violation of U.S. export control laws, will not transfer or sublicense content to prohibited parties, and accept full responsibility for lawful use in their jurisdiction.

How It Works:

Once your order is confirmed, AIWM Global will deliver your package within 3 business days. From there, you have 3 days to review and submit your revision request. Once your revision is approved, your final masters are returned within 3 business days.

Please note: if no response is received within the 3-day review window, AIWM Global will proceed as standard and the delivery will be considered final.

Your lyrics and masters will never be resold, redistributed, or reused. This composition is created exclusively for you — fully licensed for royalty-free, lifetime commercial use from the moment it's in your hands.

AIWM utilizes commercially licensed AI technology for lyrical composition, melodic arrangement, vocal generation, instrumental layering, audio mastering, mixing, and format conversion.

All AI tools and platforms used are commercially licensed for business use, cleared for client redistribution under our licensing terms, compliant with applicable intellectual property laws, and regularly updated to maintain licensing compliance.

All instrumentals generated by AIWM are created using generative AI and are not copyrightable under current U.S. and international law. Submitting these instrumentals for copyright registration or claiming ownership is strictly prohibited.

Clients may not use licensed content for AI training, model tuning, or machine learning dataset creation under any circumstances.

Both parties agree to use confidential information solely for contracted services, maintain strict confidentiality for 3 years post-project completion, and obtain written consent before sharing protected information.

AIWM Portfolio Rights: AIWM may use completed work for portfolio displays, marketing materials, and industry demonstrations. Clients may opt out by requesting exclusion in writing during project initiation.

AIWM's data practices are designed to comply with CCPA and GDPR where applicable. All project files are retained for 30 calendar days post-delivery. Files may be permanently deleted after this period. Contact AIWMGlobal@gmail.com to request a replacement within this window.

AIWM reserves the right to embed non-audible digital watermarks or metadata in distributed content for the purpose of monitoring unauthorized distribution or verifying content origin.

Services provided "AS IS" without warranty. AIWM makes no representations regarding fitness for any particular purpose, uninterrupted service availability, compatibility with all platforms, or specific creative outcomes.

Maximum liability is limited to the total amount paid for services. AIWM is not liable for indirect, incidental, or consequential damages, lost profits or business opportunities, third-party platform issues or takedowns, or technical failures.

Non-Unique Output: Due to the nature of AI-generated music, certain melodic patterns or instrumental elements may resemble other AI-generated music. Clients expressly acknowledge AIWM can not guarantee unique or one-of-a-kind instrumental compositions. Clients are solely responsible for verifying suitability and platform compliance before public release.

This agreement is governed by Iowa state law. All legal proceedings must be conducted in Ames, Iowa state courts.

Structured Resolution Process:

• Step 1: Direct Negotiation — 14 days good faith informal discussion
• Step 2: Professional Mediation — 30 days with neutral third-party mediator in Ames, Iowa. Shared costs.
• Step 3: Binding Arbitration — American Arbitration Association commercial rules. Final and binding decision.

Prevailing party may recover reasonable attorney fees, court costs, and enforcement expenses. Available remedies include monetary damages, injunctive relief, and license termination.
