1. Overview and Acceptance of Terms
Welcome to Novex Marketplace Hub ("Novex", "we", "us", or "our").
Novex operates an independent online marketplace dedicated to the distribution of digital development assets, primarily intended for use within Roblox experiences.
By accessing, purchasing, downloading, or using any service or product provided through Novex, you confirm that you have read, understood, and agreed to be legally bound by these Terms of Use and Digital Asset License ("Terms"). If you do not agree, you must discontinue use of the platform.
2. Platform Function and Legal Role
Novex functions strictly as a marketplace facilitator and delivery platform.
- Digital assets may be listed by independent third-party sellers ("Vendors")
- Unless explicitly stated, Novex is not the author, rights holder, or licensor of vendor-listed products
- Vendors operate independently and retain full responsibility for their content
Novex provides:
- Marketplace infrastructure and hosting
- Secure digital delivery systems
- Payment processing through third-party providers
- Moderation, compliance review, and enforcement tools
Novex does not warrant or guarantee vendor conduct, asset legality, uninterrupted availability, or fitness for any specific purpose beyond reasonable moderation efforts.
2.1 Novex-Owned Products
Novex may list and sell its own original digital assets. When doing so, Novex shall be treated as a vendor under these Terms. Such products will be clearly marked as "Sold by Novex" and are subject to the same licensing structure unless otherwise stated.
3. Vendor Participation, Eligibility, and Responsibility
Vendor Eligibility
Vendors must be at least 18 years of age, or have obtained verifiable parental or legal guardian consent where applicable.
Novex does not independently verify age or consent and relies on vendor declarations. Vendors accept full responsibility for compliance with applicable laws, taxation, and earnings regulations.
Vendor Responsibilities
By listing assets on Novex, Vendors affirm that:
- They possess full ownership or lawful distribution rights
- Assets are not stolen, leaked, reverse-engineered, or unlawfully obtained
- Listings do not infringe intellectual property or third-party rights
- Product descriptions are accurate and not misleading
Vendors are solely liable for:
- Copyright ownership and disputes
- Licensing accuracy
- Legal compliance of distributed assets
Novex reserves the right to remove content, suspend or terminate vendor accounts, restrict seller privileges, or deny platform access at its discretion, particularly where legal, reputational, or security risks are identified.
4. License Grant and Usage Limitations
Upon successful purchase, buyers receive a limited, non-exclusive, non-transferable license to use the acquired digital asset within their own Roblox projects.
Permitted Use
Buyers are allowed to:
- Modify, adapt, and customize assets
- Incorporate assets into personal or commercial Roblox experiences
- Monetize experiences containing the assets
- Use assets without mandatory attribution
Prohibited Use
Buyers may not:
- Resell, sublicense, trade, or redistribute assets in any form
- Share files publicly or privately, including leaks or giveaways
- Upload assets to external platforms, marketplaces, or repositories
- Claim authorship or ownership of purchased assets
There are no device or seat restrictions; however, buyers are responsible for securing files against unauthorized access.
Violations may lead to immediate termination of access, permanent bans, and legal remedies, including copyright enforcement actions.
5. Payments, Access, and Digital Delivery
Payment Handling
All payments are processed via third-party payment providers. Where applicable, vendor and marketplace fees are distributed automatically. Novex does not hold, control, or recover vendor earnings.
File Access and Downloads
- Purchases include a limited number of download attempts
- Assets are delivered via secure links and transactional email
- Abuse, suspicious activity, or policy violations may result in revoked access without refund
6. Refunds and Transaction Finality
Final Sale Policy
All transactions conducted through Novex are final and non-refundable unless otherwise required by law.
Due to the multi-vendor structure, Novex cannot guarantee vendor refunds.
Exceptional Circumstances
At Novex’s discretion, partial refunds limited to platform service fees may be issued in cases of:
- Delivery failure
- Corrupt or unusable files
- Material mismatch between product description and delivered content
Products sold directly by Novex may qualify for limited refunds under similar conditions. All determinations are final.
7. Communication and Support
Novex may assist in facilitating contact between buyers and vendors; however:
- Vendors are responsible for asset-specific support
- Novex provides platform-level assistance only
- Dispute resolution between buyers and vendors is not guaranteed
8. Asset Review and Risk Acknowledgment
While Novex performs moderation and compliance checks, users acknowledge that:
- Absolute risk elimination is not feasible
- Improper or infringing uploads may rarely occur
- Responsibility remains with the vendor
Use of the platform constitutes acceptance of these risks.
9. Roblox Platform Disclaimer
Novex Marketplace Hub is an independent service and is not affiliated with, endorsed by, or operated by Roblox Corporation.
Users are solely responsible for ensuring compliance with Roblox’s Terms of Service, policies, and community guidelines when using purchased assets.
10. AI-Generated or Assisted Content
Assets created with AI assistance are permitted only where substantial human creative input is present. Novex reserves the unrestricted right to restrict, delist, or deny AI-related assets.
11. Email and Platform Communications
By using Novex, users consent to receive essential communications regarding transactions, enforcement, security, and policy updates. Promotional communications may be opted out of.
12. Enforcement Actions
Violations of these Terms may result in immediate enforcement measures, including but not limited to:
- Account suspension or termination
- Revocation of asset access
- Permanent marketplace exclusion
- Legal action and DMCA enforcement
Actions may be taken without prior notice where necessary.
13. Governing Law
These Terms shall be governed by and interpreted in accordance with the applicable laws of Novex’s operating jurisdiction at the time of enforcement.
