Single User Licence Agreement

All digital products by ProArtStock, including Procreate brushes and related assets, are protected by Japanese copyright laws and international treaties. ProArtStock owns all rights, including the copyrights to these digital products. Your rights to use the digital products are subject to the terms outlined below and are conditional upon your payment to ProArtStock for the usage rights. ProArtStock reserves the right to modify these Terms and Licence at any time.

This licence agreement (“Licence”) is a legal agreement between you (“Licensee” or “you”) and ProArtStock (“Licensor”, “we”, or “us”) for downloading, installing, or using the digital products, such as Procreate brushes (“Resources”).

You acknowledge that all intellectual property rights in the Resources worldwide belong to ProArtStock, that rights in the Resources are licensed (not sold) to you, and that you have no rights in, or to, the Resources other than the right to use them in accordance with the terms of this Licence.


IMPORTANT NOTICE TO ALL USERS:

By purchasing the right to use the Resources, you agree to be bound by the terms and conditions of this Licence. The terms of this Licence include, in particular, limitations on liability in Section 4 of the agreement herein.


If you do not agree to the terms of this Licence, we will not license the Resources to you, and you must discontinue the use of the Resources.


By purchasing the right to use the Resources from our online store, you hereby consent to the immediate performance of the contract and acknowledge that you will lose your right of withdrawal from the contract once the download of the digital content has begun.


END USER LICENCE AGREEMENT: STANDARD, EXTENDED, AND ENHANCED LICENCE


ProArtStock hereby grants you a non-exclusive, non-transferable, worldwide right to use the digital products in the following ways, subject to the limitations set out in “Restrictions”:


End Product


You may use a purchased Resource in a new End Product as long as the End Product meets the following requirements:

  • End Products must be significantly different from the original Resource. You must combine the Resources with other creative elements to form an Original Design. An Original Design requires time, effort, and skill to produce, and the primary value of the End Product must not come from the Resource itself. Resources may not be used in a standalone manner.
  • End Products must not be used or sold in a way that directly competes with the original Resource you purchased, nor may they redistribute the original Resource to any third party.
  • You may use the Resources in multiple commercial Projects.
  • The lifetime sales of End Products for Sale or offered for free may not exceed 5,000 units. If a Standard Licensed Resource is used to create an End Product for Sale that exceeds 5,000 units, an Extended Licence must be purchased.
  • Patterns licensed under this Licence may not be used standalone. They may be used as backgrounds, overlays, or to fill specific areas within your Original Design.
  • An End Product For Sale can be a digital or physical item that you or your client intend to sell to more than one person for any fee, ensuring that third parties cannot extract the original Resource.
  • You may modify or manipulate the Resource or incorporate it into other content to create a derivative work. ProArtStock retains all rights, title, and ownership in the Resource, and the resulting derivative work is subject to the terms of this Licence, including Restrictions in Section 3.
  • For Procreate brushes, special terms apply: An End Product must be a unique implementation of the Resource. For example, you may use a brush to create unique artwork, but you must not redistribute the original files. You may use brushes in multiple commercial Projects and sell unlimited quantities of the End Product. Brushes may only be installed on devices used by the Licensee (e.g., your primary and secondary desktop computer and mobile device).


Embedding


You may embed elements from the Resources into documents sent to third parties, but such documents may only be viewed and printed (not edited) by recipients. You may not embed elements from the Resources into software, hardware products, online applications, or tools where the Resources could be used by purchasers or extracted/transmitted.

Restrictions


You may not:

  • Sublicense, resell, redistribute, provide access to, share, or transfer any Resources (e.g., as stock, in a tool, app, or template, with source files, or not incorporated into an End Product) under any circumstances, even for free. Uploading a Resource to a website at a resolution exceeding the display resolution of the intended device will be considered an attempt to redistribute. You agree to take all reasonable steps to prevent third parties from accessing or duplicating the Resources. If you become aware of unauthorized duplication or access, please notify us.
  • Allow anyone other than the Licensee to customize a digital or physical End Product, whether for commercial or non-commercial use. It is prohibited for any user other than the Licensee to have access to the assets in a way that allows them to create their own End Product (e.g., “print on demand,” “made to order,” or “download on demand” applications).
  • Claim authorship of the artwork, even if modified. If you use the Resources for editorial purposes (print, web, or TV), you must include the credit adjacent to the product: ProArtStock / https://proartstock.shop.
  • Make Resources available to third parties on a digital asset management system, shared drive, or similar platform for sharing or transferring purposes.
  • Resell a Resource directly or within a wider design/product where the original Resource can be extracted in its original form, in both digital and print formats.
  • Resell a website template where embedded Resources can be extracted (e.g., background textures or brush strokes that a new customer could extract without owning the original Licence). This is acceptable when template files are passed to an individual client, but both you and your client must hold a Licence.
  • Use Resources to create alphabets, letterform-related products, digital alphabets, adhesive stickers, embroidery letters, rubber stamps, die-cut products, or stencil products.
  • Sublicense, resell, redistribute, provide access to, share, or transfer any brushes included in the brush sets. Copying or adjusting brushes to repackage and sell is strictly prohibited. Pattern brushes may not be used as-is but can be used as part of a wider creation.
  • Register the Resource or an End Product incorporating the Resource as a trademark, including logos. Resources are non-exclusive, meaning other customers may use the same Resource, even in another logo.


Limitation of Liability

  • You acknowledge that the Resources are not developed to meet your individual requirements, and it is your responsibility to ensure that the Resources meet your needs.
  • You may not use Resources in a manner that is unlawful, harmful, abusive, offensive, defamatory, deceptive, invasive of privacy, harassing, obscene, threatening, or promotes harm, racism, or bigotry.
  • ProArtStock will not be liable for any failure to perform or delay in performance of obligations under this Licence caused by events beyond our reasonable control, including failure of public or private telecommunications networks.
  • We do not guarantee that the operation of the Resources will be uninterrupted or error-free.
  • You may not transfer your rights or obligations under this Licence to another person or business without our express written consent.
  • Each condition of this Licence operates separately. If any court or authority deems a condition unlawful or unenforceable, the remaining conditions will remain in effect.
  • ProArtStock will not be liable for any special, consequential, or incidental damages, including lost profits, savings, or business interruption, resulting from defective Resources.
  • ProArtStock will not be liable for events outside our reasonable control, including industrial action, acts of God, terrorism, civil commotion, or other Force Majeure events.


Governing Law


This Licence, its subject matter, and its formation are governed by Japanese copyright law, the Berne Convention, and the Universal Copyright Convention.


Extended Licence


If you purchase an Extended Licence, the following terms apply:

  • The Extended Licence allows you to use Resources in any manner permitted under the Standard Licence, subject to its obligations and restrictions.
  • Additionally, you may use Resources purchased under the Extended Licence to create End Products for Sale with lifetime sales not exceeding 250,000 units. Contact us for a custom Licence if you require greater quantities for commercial use.


Enhanced Licence


If you purchase an Enhanced Licence (applicable to specific Resources only), the following terms apply:

  • The Enhanced Licence allows you to use Resources in any manner permitted under the Standard Licence, subject to its obligations and restrictions.
  • Additionally, you may use Resources purchased under the Enhanced Licence to create physical End Products for Sale, which may be sold an unlimited number of times.
  • Resources under the Enhanced Licence may be used standalone to create physical End Products for Sale, where the Resource may form the main integrity of the product without being part of a wider design. However, resale or sublicensing of the Resource in source file form or in a manner competitive with the original Resource is prohibited.
  • Creating digital End Products is not permitted under the Enhanced Licence.


Termination


We may terminate this Licence immediately by written notice if you commit a material or persistent breach of this Licence and fail to remedy it (if remediable) within 14 days after receiving written notice.


Upon termination:

  • All rights granted under this Licence will cease.
  • You must immediately cease all activities authorized by this Licence.
  • You must immediately pay any sums due to ProArtStock under this Licence.
  • You must immediately delete or remove the Resources from all devices in your possession and destroy any tangible copies, certifying to us that you have done so.
