TERMS OF SERVICE (TOS)

TOP PROSPECT

By purchasing, downloading, accessing, or using any 3D assets from TOP PROSPECT, you agree to comply with the following Terms of Service. These terms constitute a legally binding agreement between you ("User") and TOP PROSPECT ("Licensor"). These terms are designed to protect the intellectual property, business interests, and legal rights of TOP PROSPECT.

1. Ownership and License Grant

a. All 3D models, assets, textures, files, and related content sold or distributed by TOP PROSPECT remain the exclusive intellectual property of TOP PROSPECT.

b. Your purchase grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the assets. You are not purchasing ownership of the assets. Ownership remains solely with TOP PROSPECT at all times.

c. This license permits use of the assets in personal and commercial projects, including but not limited to games, VRChat avatars, renders, animations, and digital media, provided the assets are integrated into a larger project and not redistributed as standalone files.

d. This license does not grant any rights to resell, redistribute, share, sublicense, transfer, or otherwise provide the original assets to any third party.

2. Restrictions on Use

a. No Redistribution: You may not resell, share, distribute, sublicense, gift, or otherwise transfer TOP PROSPECT assets to any third party, whether for free or for payment.

b. No Extraction Access: You may not use TOP PROSPECT assets in any way that allows others to extract, access, download, or reuse the assets as standalone files.

c. No Asset Flipping: You may not modify, adapt, or reuse TOP PROSPECT assets for the purpose of reselling or redistributing them as your own product.

d. No Reverse Engineering: You may not reverse engineer, decompile, analyze, or use TOP PROSPECT assets to create competing or similar products.

e. No Dataset or Library Inclusion: You may not include TOP PROSPECT assets in any asset pack, library, or collection intended for redistribution.

f. All files and contents provided by TOP PROSPECT are protected under this agreement regardless of modification.

3. Commercial Use Policy

a. TOP PROSPECT permits commercial use of its assets when embedded into larger original works such as avatars, games, renders, or other media.

b. Commercial use is permitted only if the assets cannot be extracted, reused, or redistributed independently.

c. You may not sell or distribute the asset itself, even if modified.

d. Proper credit to TOP PROSPECT is required when reasonably possible. Attribution must include a visible reference to TOP PROSPECT.

4. Artificial Intelligence and Machine Learning Restrictions

a. You may not use TOP PROSPECT assets, in whole or in part, to train, fine-tune, develop, or improve any artificial intelligence, machine learning, or neural network systems.

b. You may not include TOP PROSPECT assets in any dataset used for AI or machine learning purposes.

c. You may not upload or submit TOP PROSPECT assets to any AI platform or system that retains, learns from, analyzes, or uses the assets for training or generative purposes.

d. You may not use TOP PROSPECT assets in any system designed to generate competing or similar assets automatically.

e. Any AI-related use beyond basic non-learning rendering or display is strictly prohibited.

5. NFT and Blockchain Restrictions

a. You may not use TOP PROSPECT assets in connection with NFTs, blockchain technology, tokenized assets, or similar systems without explicit written permission from TOP PROSPECT.

b. You may not mint, sell, or distribute TOP PROSPECT assets as NFTs.

6. Intellectual Property and Copyright Protection

a. All TOP PROSPECT assets are protected under United States copyright law and international intellectual property laws.

b. Unauthorized reproduction, redistribution, resale, or misuse constitutes copyright infringement and may result in legal action.

c. TOP PROSPECT retains full ownership of all designs, including modified or derivative versions.

d. TOP PROSPECT assets are artistic and expressive works and are not affiliated with, endorsed by, or associated with any third-party brands, companies, or trademark holders.

e. Any third-party elements remain the property of their respective owners.

f. TOP PROSPECT reserves the right to pursue DMCA takedowns, legal claims, and enforcement actions against violations.

7. License Termination

a. TOP PROSPECT reserves the right to revoke or terminate your license at any time if you violate any part of this agreement.

b. Upon termination, you must immediately cease use of the assets and delete all copies in your possession.

c. Continued use after termination constitutes willful copyright infringement.

8. Enforcement and Legal Remedies

a. TOP PROSPECT actively monitors unauthorized use, redistribution, resale, and misuse of its assets.

b. Violations may result in legal action, including but not limited to:

• DMCA takedown notices

• Civil lawsuits

• Monetary damages

• Injunctive relief

• Legal fees and enforcement costs

c. TOP PROSPECT reserves all rights to enforce its intellectual property to the fullest extent permitted by law.

9. Warranty Disclaimer

a. All TOP PROSPECT assets are provided "AS IS" without warranties of any kind.

b. TOP PROSPECT makes no guarantees regarding compatibility, functionality, or fitness for any specific purpose.

c. Use of the assets is at your own risk.

10. Limitation of Liability

a. TOP PROSPECT shall not be liable for any indirect, incidental, consequential, or special damages.

b. TOP PROSPECT's total liability shall not exceed the amount paid for the asset.

c. Some jurisdictions do not allow certain limitations, so these limitations apply to the maximum extent permitted by law.

11. No Refund Policy

a. All sales are final.

b. No refunds, returns, or exchanges will be provided under any circumstances.

12. Governing Law and Jurisdiction

a. This agreement shall be governed by and interpreted under the laws of the State of Tennessee and applicable United States federal law.

b. Any disputes shall be resolved exclusively in the courts located in Tennessee.

13. Acceptance of Terms

By purchasing, downloading, or using TOP PROSPECT assets, you acknowledge that you have read, understood, and agreed to these Terms of Service.
