By purchasing, downloading, accessing, or using any 3D models, textures, files, digital products, or related content from TOP PROSPECT, you agree to comply with the following Terms of Service. These Terms form a legally binding agreement between you (“User,” “Customer,” or “Licensee”) and TOP PROSPECT (“Licensor,” “Seller,” “we,” “us,” or “our”).
If you do not agree to these Terms, you may not purchase, download, access, or use TOP PROSPECT assets.
1. OWNERSHIP AND LICENSE GRANT
a. All 3D models, meshes, assets, textures, renders, files, packaging, product images, promotional images, documentation, and related content created or distributed by TOP PROSPECT remain the intellectual property of TOP PROSPECT unless otherwise stated.
b. Purchasing or downloading an asset does not transfer ownership of the asset to you. Your purchase grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the asset under these Terms.
c. You may use TOP PROSPECT assets in personal and commercial projects, including but not limited to VRChat avatars, games, renders, animations, videos, promotional media, and digital artwork, provided the asset is integrated into a larger project and is not distributed as a standalone file.
d. You may not claim ownership of TOP PROSPECT assets, even if you modify, edit, retexture, rig, optimize, convert, or otherwise alter them.
e. All rights not expressly granted under these Terms are reserved by TOP PROSPECT.
2. PERMITTED USE
a. You may use purchased TOP PROSPECT assets on personal avatars, commercial avatars, renders, videos, games, and other digital projects.
b. You may include TOP PROSPECT assets as part of a completed avatar or larger digital project, provided the asset cannot be easily extracted, downloaded, reused, or redistributed as a standalone asset.
c. You may make reasonable modifications to the asset for your own use or for integration into a larger project.
d. Commercial use is permitted only when the asset is incorporated into a larger original work and not sold, shared, or distributed by itself.
3. RESTRICTIONS ON USE
a. No Redistribution:
You may not resell, share, distribute, leak, upload, gift, trade, sublicense, transfer, or otherwise provide TOP PROSPECT assets to any third party, whether for free or for payment.
b. No Asset Flipping:
You may not modify, retexture, rename, edit, or slightly alter TOP PROSPECT assets for the purpose of reselling or redistributing them as your own product.
c. No Standalone Distribution:
You may not sell, upload, include, or distribute TOP PROSPECT assets as standalone files, asset packs, source files, texture packs, model packs, libraries, or downloadable resources.
d. No Extraction Access:
You may not use TOP PROSPECT assets in a way that allows others to easily extract, download, copy, rip, reuse, or redistribute the original asset files.
e. No Reverse Engineering:
You may not reverse engineer, decompile, rip, scrape, extract, analyze, or use TOP PROSPECT assets to create competing or substantially similar products.
f. No Public File Sharing:
You may not upload TOP PROSPECT assets to public file-sharing websites, Discord servers, asset ripping communities, leak forums, cloud drives, or any other unauthorized distribution platform.
g. No Competing Products:
You may not use TOP PROSPECT assets to create, train, reference, or build a directly competing asset store, product line, or marketplace listing.
h. These restrictions apply to all TOP PROSPECT assets regardless of whether the asset has been modified, converted, edited, retextured, optimized, or combined with other assets.
4. THIRD-PARTY BRANDS, TRADEMARKS, LOGOS, AND DESIGN REFERENCES
a. TOP PROSPECT is an independent digital asset store and is not affiliated with, endorsed by, sponsored by, approved by, or officially connected to any third-party brand, company, designer, trademark owner, celebrity, entertainment property, or rights holder unless expressly stated in writing.
b. Any third-party names, marks, logos, patterns, designs, trade dress, or brand-like references that may appear in product images, textures, previews, tags, descriptions, or assets are used only as artistic, decorative, referential, parody, commentary, customization, or stylistic elements.
c. TOP PROSPECT does not claim ownership over any third-party trademarks, logos, brand names, trade dress, copyrighted works, or intellectual property. All third-party rights remain the property of their respective owners.
d. Your purchase grants you rights only to TOP PROSPECT’s original 3D modeling work, file preparation, asset structure, custom textures, original designs, edits, and related creative work. Your purchase does not grant you ownership of, or independent rights to use, any third-party trademark, logo, brand name, design, or intellectual property.
e. You may not use TOP PROSPECT assets in a way that falsely suggests sponsorship, endorsement, approval, partnership, licensing, or affiliation with any third-party brand, company, designer, trademark owner, or rights holder.
f. You are solely responsible for determining whether your specific use of any asset, texture, logo, design, brand reference, or third-party element is legally permitted in your jurisdiction and for your intended purpose.
g. If you use TOP PROSPECT assets in commercial projects, advertisements, resale avatars, public worlds, games, videos, or promotional material, you accept full responsibility for ensuring your use does not violate any third-party intellectual property rights, platform rules, marketplace policies, or applicable laws.
h. Upon receiving a valid intellectual property complaint, takedown request, marketplace notice, or rights-holder concern, TOP PROSPECT reserves the right to remove, edit, replace, disable, or discontinue any product, texture, preview image, listing, or future download access from the store at any time, with or without prior notice.
i. TOP PROSPECT may provide updated, altered, or replacement files when appropriate, but is not obligated to provide refunds, compensation, or damages due to removal, alteration, or discontinuation of products involving third-party claims.
j. Nothing in these Terms should be interpreted as legal advice, permission from a third-party rights holder, or a guarantee that a specific use of any asset is legally safe.
5. COMMERCIAL USE POLICY
a. TOP PROSPECT permits commercial use of purchased assets when they are embedded into larger original works such as avatars, games, renders, animations, videos, and digital media.
b. Commercial use is permitted only if the original asset files cannot be easily extracted, accessed, reused, or redistributed independently.
c. You may not sell or distribute the asset itself, even if modified.
d. You may not use TOP PROSPECT assets in any commercial product, advertisement, or listing that falsely implies official affiliation with or endorsement by TOP PROSPECT or any third-party brand.
e. Credit to TOP PROSPECT is appreciated and may be required when reasonably possible. Attribution may include “Asset by TOP PROSPECT” or a visible reference/link to the TOP PROSPECT store.
6. ARTIFICIAL INTELLIGENCE AND MACHINE LEARNING RESTRICTIONS
a. You may not use TOP PROSPECT assets, in whole or in part, to train, fine-tune, develop, test, improve, or validate any artificial intelligence, machine learning, neural network, generative model, or automated asset generation system.
b. You may not include TOP PROSPECT assets in any dataset, training set, reference set, scraping pool, or machine learning library.
c. You may not upload, submit, or provide TOP PROSPECT assets to any AI platform or system that stores, analyzes, learns from, trains on, or generates outputs based on uploaded content.
d. You may not use TOP PROSPECT assets in any system designed to generate competing, similar, derivative, or replacement assets.
e. Basic rendering, display, previewing, and non-learning use of the assets is permitted. Any AI-related use beyond non-learning display or rendering is strictly prohibited.
7. NFT, BLOCKCHAIN, AND TOKENIZATION RESTRICTIONS
a. You may not use TOP PROSPECT assets in connection with NFTs, blockchain technology, tokenized assets, digital collectibles, cryptocurrency projects, or similar systems without prior written permission from TOP PROSPECT.
b. You may not mint, sell, distribute, advertise, or tokenize TOP PROSPECT assets as NFTs or blockchain-based assets.
c. You may not use TOP PROSPECT assets in any project that allows ownership, transfer, resale, or licensing through blockchain or tokenized systems without written approval.
8. PLATFORM AND MARKETPLACE RESPONSIBILITY
a. You are responsible for following the rules, terms, and policies of any platform where you upload, use, sell, or display projects containing TOP PROSPECT assets.
b. This includes but is not limited to VRChat, Gumroad, Payhip, Booth, Unity Asset Store, Unreal Marketplace, Roblox, Discord, TikTok, Instagram, YouTube, and any other platform or marketplace.
c. TOP PROSPECT is not responsible if your project, avatar, listing, account, upload, or content is removed, restricted, demonetized, rejected, banned, or penalized by any platform or marketplace.
d. You agree that platform approval of your content does not override these Terms.
9. INTELLECTUAL PROPERTY AND COPYRIGHT PROTECTION
a. TOP PROSPECT assets are protected under United States copyright law and applicable international intellectual property laws.
b. Unauthorized reproduction, redistribution, resale, leaking, ripping, or misuse of TOP PROSPECT assets may constitute copyright infringement, breach of contract, and other legal violations.
c. TOP PROSPECT retains full ownership of its original designs, files, models, textures, edits, product images, and derivative versions created by or for TOP PROSPECT.
d. Modification of an asset does not remove TOP PROSPECT’s ownership rights or license restrictions.
e. TOP PROSPECT reserves the right to issue DMCA takedown notices, marketplace reports, platform complaints, account reports, cease-and-desist demands, and legal claims against unauthorized use or distribution.
10. LICENSE TERMINATION
a. TOP PROSPECT may revoke or terminate your license if you violate any part of these Terms.
b. Upon termination, you must immediately stop using the assets and delete all copies in your possession or control.
c. Continued use, sale, sharing, or distribution after termination may constitute willful copyright infringement and breach of contract.
d. Termination does not limit TOP PROSPECT’s right to pursue legal remedies for violations that occurred before or after termination.
11. ENFORCEMENT AND LEGAL REMEDIES
a. TOP PROSPECT actively monitors unauthorized use, redistribution, resale, leaking, ripping, and misuse of its assets.
b. Violations may result in enforcement actions including but not limited to:
- DMCA takedown notices
- Marketplace reports
- Platform account reports
- Discord server reports
- Cease-and-desist demands
- Civil lawsuits
- Monetary damages
- Injunctive relief
- Recovery of legal fees and enforcement costs where permitted by law
c. TOP PROSPECT reserves all rights to enforce its intellectual property, license terms, and business interests to the fullest extent permitted by law.
12. REFUNDS AND DIGITAL DELIVERY
a. All sales are final due to the digital nature of the products.
b. No refunds, returns, exchanges, or cancellations will be provided once a product has been purchased, downloaded, accessed, or delivered, except where required by law.
c. Before purchasing, you are responsible for reviewing the product description, compatibility notes, included files, requirements, and usage terms.
d. TOP PROSPECT may, at its discretion, provide support, updates, fixes, or replacement files, but is not required to do so unless stated in the product listing.
13. PRODUCT COMPATIBILITY AND SUPPORT
a. TOP PROSPECT assets are provided as digital files for use by creators. You are responsible for having the required knowledge, software, tools, plugins, and platform access necessary to use them.
b. TOP PROSPECT does not guarantee compatibility with every version of Unity, Blender, VRChat SDK, shader package, game engine, avatar base, marketplace, or platform.
c. Product descriptions may list intended software, platforms, file types, or compatibility information. This information is provided for convenience and may change over time.
d. TOP PROSPECT is not responsible for issues caused by user error, incorrect installation, outdated software, conflicting plugins, platform updates, third-party tools, or modifications made after purchase.
14. WARRANTY DISCLAIMER
a. TOP PROSPECT assets are provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied.
b. TOP PROSPECT makes no guarantees regarding functionality, compatibility, performance, uninterrupted access, marketplace acceptance, platform approval, or fitness for a particular purpose.
c. Use of TOP PROSPECT assets is at your own risk.
d. To the maximum extent permitted by law, TOP PROSPECT disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
15. LIMITATION OF LIABILITY
a. To the maximum extent permitted by law, TOP PROSPECT shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or lost-profit damages arising from the purchase, download, use, misuse, inability to use, removal, or discontinuation of any asset.
b. TOP PROSPECT shall not be liable for account bans, platform removals, marketplace takedowns, project issues, upload failures, lost sales, lost revenue, lost data, reputational harm, business interruption, or claims made by third parties.
c. TOP PROSPECT’s total liability for any claim shall not exceed the amount you paid for the specific asset giving rise to the claim.
d. Some jurisdictions do not allow certain limitations of liability, so these limitations apply to the maximum extent permitted by law.
16. INDEMNIFICATION
a. You agree to defend, indemnify, and hold harmless TOP PROSPECT, its owner(s), representatives, partners, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, expenses, legal fees, or demands arising out of:
- Your use or misuse of TOP PROSPECT assets
- Your violation of these Terms
- Your redistribution, resale, sharing, or leaking of assets
- Your commercial use of assets
- Your violation of any third-party intellectual property rights
- Your violation of any platform, marketplace, or community rules
- Any project, avatar, game, render, video, advertisement, or product you create using the assets
b. This indemnification obligation survives termination of your license.
17. CHANGES TO PRODUCTS AND TERMS
a. TOP PROSPECT may update, modify, replace, remove, or discontinue any asset, product listing, texture, preview image, description, price, or download at any time.
b. TOP PROSPECT may update these Terms at any time. Updated Terms will apply to future purchases, downloads, access, and continued use of TOP PROSPECT assets.
c. Continued use of TOP PROSPECT assets after updates to these Terms constitutes acceptance of the updated Terms.
18. GOVERNING LAW AND JURISDICTION
a. These Terms shall be governed by and interpreted under the laws of the State of Tennessee and applicable United States federal law, without regard to conflict-of-law principles.
b. Any disputes, claims, or legal proceedings arising from these Terms or TOP PROSPECT assets shall be resolved exclusively in the state or federal courts located in Tennessee, unless otherwise required by law.
c. You consent to the personal jurisdiction and venue of such courts.
19. SEVERABILITY
If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining sections shall remain valid and enforceable to the fullest extent permitted by law.
20. ENTIRE AGREEMENT
These Terms represent the entire agreement between you and TOP PROSPECT regarding the purchase, download, access, and use of TOP PROSPECT assets and supersede any prior statements, messages, descriptions, discussions, or understandings, unless otherwise agreed in writing by TOP PROSPECT.
21. ACCEPTANCE OF TERMS
By purchasing, downloading, accessing, or using TOP PROSPECT assets, you confirm that you have read, understood, and agreed to these Terms of Service.
If you do not agree to these Terms, you may not purchase, download, access, or use TOP PROSPECT assets.
