Commercial License Agreement

Digital PNG Files (Transparent Background, 600 DPI)

This Commercial License Agreement (“License”) is a legal agreement between the Licensor and the purchaser (“Licensee”) of the digital product described below. By purchasing, downloading, or using these files, the Licensee agrees to be bound by the terms of this License.

1. Product Description

The licensed product consists of digital PNG files with transparent backgrounds. Each file is provided at 600 DPI to ensure high-quality printing (“Digital Files”).

2. Grant of License

The Licensor grants the Licensee a non-exclusive, non-transferable, perpetual commercial license to use the Digital Files strictly in accordance with the terms set forth in this Agreement.

3. Permitted Use

Under this License, the Licensee may:

• Use the Digital Files to create physical end products for personal or commercial purposes.
• Produce an unlimited number of physical items using the Digital Files.
• Sell physical products created using the Digital Files (e.g., prints, apparel, merchandise, packaging).

4. Restrictions and Prohibited Use

The Licensee may not, under any circumstances:

• Resell, redistribute, share, license, sublicense, or transfer the Digital Files in digital form.
• Sell, give away, or make available the Digital Files as standalone files or as part of any digital bundle, archive, or download.
• Resell or distribute the Digital Files even if they have been:
• Modified
• Recreated
• Deconstructed
• Traced
• Altered
• Combined with other elements

Any form of digital resale, redistribution, or digital sharing is strictly prohibited, regardless of the degree of modification.

5. Digital Use Limitation

The Digital Files are licensed for use in physical products only.

They may not be used for:

• Digital products
• Print-on-demand digital downloads
• NFTs
• Digital designs, templates, or assets
• Online or electronic redistribution in any form

6. Ownership and Copyright

All Digital Files remain the intellectual property of the Licensor.

This License does not transfer ownership, copyright, or intellectual property rights to the Licensee.

7. No Transfer or Sublicensing

This License is granted solely to the original purchaser and may not be transferred, assigned, or sublicensed to any third party.

8. Termination

Any violation of the terms of this License will result in immediate termination of the License without refund. Upon termination, the Licensee must cease all use of the Digital Files and delete all digital copies in their possession.

9. Disclaimer

The Digital Files are provided “as is,” without warranties of any kind, express or implied. The Licensor shall not be liable for any damages arising from the use or inability to use the Digital Files.

10. Governing Law

This License shall be governed and interpreted in accordance with the laws applicable in the Licensor’s jurisdiction.
