CIO 'Foundation' Charity Constitution Template

This constitution may be used by trustees looking to establish a charitable incorporated organisation (CIO) whose only voting members are the charity's trustees. 

This constitution has been developed using the Charity Commission's model constitution and is laid out in a Word document to save you time and make it easy for you to edit. 

Edit the RED sections in the document to personalise this constitution to your needs. Any blue text is to give you additional instructions or show where you have an option. 

A CIO may be suitable for a charity that will:

• own land in its own name
• control substantial funds or assets
• enter into contracts, for example by employing staff, or
• engage in charitable activities involving financial risk

All CIOs must register with Charity Commission, regardless of their income. You may use this constitution to apply to register your CIO as it meets the regulations specified by the Commission.
