Operational Verification of MSO and DSO Arrangements
A consolidation structure, read from its documents, is a claim about itself: who controls the practice, what the management company is paid and for what, how the clinician-owners are protected, on what terms the arrangement can change. Whether that claim is true — whether the arrangement operates as it is built to appear — is a separate question, and it is the question that decides everything consequential. The corporate-practice challenge, the clinician-owner dispute, the fee-splitting action, the diligence finding that moves a price, the regulator's inquiry: not one turns on what the documents recite. Each turns on the gap between what the arrangement represents and what its records show it to be.
This volume supplies the apparatus to read that record against the documents, with discipline, so the gap is located rather than assumed. Across fifteen chapters in four parts, Part I establishes the classes of evidence an arrangement generates, the pathways by which they are reached, and the architecture of the instruments. Part II builds the seven instruments, one to a chapter: the Control-Allocation Matrix, the Risk and Vulnerability Matrix, the Reserved-Powers Risk Checklist, the Representation-Reality-Gap Audit, the Autonomy-Preservation Protocol, the Discovery-Roadmap Tool, and the Composite Verification Engagement — each presented the same way, with its template, a worked arrangement, what the populated instrument surfaces, and the discipline governing its inferences. Part III calibrates the apparatus to the settings where it is used — litigation, transactional diligence, regulatory and compliance work, and editorial and investor reading. Part IV draws the limits: what the apparatus deliberately does not do.
The instruments are a system, not a menu — each consumes the output of the one before it, and the verification they perform together is more than the readings they perform apart. The apparatus does not pronounce an arrangement lawful or unlawful, which is a judgment for courts and regulators; it locates the arrangement against its own representations and hands the located reading to whoever must decide. It is built to find an arrangement sound as readily as fragile.
