NON-EXCLUSIVE BLANKET LICENSE AGREEMENT

Licensor: Stacey Alexander (Owner, SDC)

Effective Date: Date of Purchase via Payhip

Track Title: Mexican Ice Cream Truck (Music Loop)

This document serves as a legal, binding agreement between Stacey Alexander (Owner of SDC)("Licensor") and the purchasing individual or business entity ("Licensee") who has acquired the audio track through authorized digital marketplaces.

1. GRANT OF LICENSE

Upon receipt of payment, Licensor grants Licensee a worldwide, non-exclusive, perpetual (lifetime), royalty-free license to use, play, loop, and synchronize the musical composition and sound recording titled "Mexican Ice Cream Truck (Music Loop)" ("the Track") in accordance with the terms outlined below.

2. PERMITTED USES

Licensee is fully authorized to use the Track for the following purposes:

• Mobile & Commercial Vending: Publicly broadcasting the Track via loudspeakers, public address (PA) systems, or stereo equipment on commercial vehicles, including but not limited to ice cream trucks, food trucks, and push-carts.
• Digital Video & Content Creation: Synchronizing the Track as background music in digital video productions, social media content (TikTok, Instagram Reels, YouTube, etc.), podcasts, indie films, and online advertisements.
• Live Events: Playing the Track as background music at live events, street festivals, markets, or physical business locations.

3. RESTRICTIONS

• No Resale or Redistribution: Licensee cannot resell, lease, sublicense, distribute, or give away the standalone audio file or its components to third parties.
• No Claim to Ownership: Licensee may not register the Track (or any derivative work containing the Track) with any copyright office or automated content identification system (such as YouTube Content ID) as their own original work.

4. PUBLIC PERFORMANCE ROYALTIES (BMI)

This license is a mechanical and synchronization license for the physical use of the audio file. This agreement does not waive or transfer the Licensor’s right to collect Public Performance Royalties from Performance Rights Organizations (PROs). If the Track is captured or broadcast in a medium that generates automated performance royalties (e.g., television broadcast, radio, or logged digital platforms), Licensor retains 100% of the writer and publisher share via BMI. Licensee owes no additional out-of-pocket royalties directly to the Licensor beyond the initial purchase price.

5. LIABILITY & WARRANTY

The Track is provided "as is." Licensor warrants that they are the sole creator, copyright holder, and owner of the Track and have full legal authority to grant this license. Licensor is not liable for any local sound ordinance violations, fines, or legal disputes incurred by the Licensee while broadcasting music in public spaces.
