PREAMBLE

In application of the stipulations of article 14 of the Dahir regarding Law No. 1-93-212 of 21

September 1993 regarding CDVM and the information required from legal entities making a takeover

bid as amended and supplemented, and of article 36 of Law No. 26-03 relating to bids on the stock

market as amended and supplemented, this information note refers, in particular, to the organisation of

Hikma Pharmaceuticals PLC and of Promopharm S.A, their financial situation and the development of

their business, as well as the characteristics and subject of the operation envisaged.

The said information note was drawn up by Société Générale Marocaine de Banques and Red Med

Finance, acting in their capacity as Financial Advisors, in application of the stipulations of the

aforesaid article.

The content of this information note has been established based on information obtained, unless

specifically mentioned, from the following sources:
