Sample License and Usage Agreement Clause

1. Grant of Limited License:

The Licensor hereby grants the User a non-exclusive, worldwide, "free-for-profit" license to use, modify, and distribute the audio files contained exclusively within the specific folders titled "granularbliss", "piano", "loops", "ambience", and "phrases" included in the "AMALgama" sound kit (hereinafter, "The Material"), solely for the creation of new derivative musical works (hereinafter, "The New Track").

2. Stream Threshold and Royalty Exemption:

★ Up to 1,000,000 Streams: The User is permitted to monetize The New Track containing The Material on all digital streaming platforms (including, but not limited to, Spotify, Apple Music, YouTube, and Tidal) without any royalty obligations to the Licensor, up to a cumulative limit of 1,000,000 (one million) streams across all platforms.

★ Threshold Exceedance: In the event that The New Track reaches or exceeds 1,000,000 cumulative streams, the royalty-free status of this license shall automatically expire.

3. Mandatory Renegotiation (Splits & Royalties):

Upon reaching the 1,000,000 stream threshold, the User is strictly required to contact the Licensor immediately to negotiate in good faith the applicable producer/creator percentages, publishing splits, and ongoing master royalties for the continued commercial exploitation of The New Track. The User agrees not to further exploit the track commercially until a formal split-sheet or clearance agreement has been executed by both parties.

4. Scope of Protection and Redistribution Prohibitions:

The stream-limit restrictions granted in this license apply strictly to the specified folders listed below; all other audio assets within the "AMALgama" pack not listed below are granted as 100% royalty-free for commercial use with no stream limitations.

For the avoidance of doubt, absolutely no material, files, sounds, or assets included anywhere within the "AMALgama" pack—whether contained in the aforementioned folders or any other part of the download—may be resold, re-licensed, redistributed, or sub-licensed as standalone audio files, loops, drums, or samples. All contents of the "AMALgama" pack are protected by copyright. Any unauthorized redistribution of any part of this download constitutes direct copyright infringement.
