BASIC LEASE MP3 BEAT LICENSE

This License Agreement is entered into between IamSteinCo ("Producer") and the purchaser ("Artist" or "Licensee") upon purchase of a Basic Lease MP3 License.

1. License Grant

The Producer grants the Artist a non-exclusive, non-transferable license to use the purchased instrumental ("Beat") to create one (1) new musical recording.

The Producer retains full ownership and copyright of the Beat.

2. Files Included

• High-quality MP3 (320 kbps)
• Instant digital download

3. Permitted Uses

The Artist may:

• Record vocals over the Beat.
• Release one commercial song using the Beat.
• Upload the song to streaming platforms.
• Monetize the song.
• Perform the song live.
• Use the song on social media.

The following limits apply:

• Up to 10,000 digital or physical sales
• Up to 100,000 total audio streams
• Up to 50,000 YouTube views
• One (1) official music video

If any of these limits are exceeded, the Artist must purchase an upgraded license before further commercial use.

4. Credit

Producer credit is required wherever reasonably possible.

Credit must appear as:

Produced by IamSteinCo

5. Ownership

The Producer retains:

• 100% ownership of the instrumental
• All copyrights to the Beat
• The right to continue leasing or selling the Beat to other artists

This license is non-exclusive.

6. Restrictions

The Artist may not:

• Resell, sublicense, or redistribute the Beat by itself.
• Claim ownership of the Beat.
• Register the Beat in YouTube Content ID without written permission.
• Resample, remake, or alter the Beat for resale.
• Transfer this license to another person.

7. Publishing

The Artist owns the newly created song containing their original lyrics and performance.

The Producer retains all ownership rights to the underlying instrumental composition.

Publishing splits and performance royalties should be registered according to applicable copyright and performing rights organization requirements.

8. Refund Policy

All sales are final. Because digital files are delivered immediately, refunds are not available.

9. Liability

The Producer shall not be liable for any damages resulting from the use of the Beat.

10. Acceptance

By purchasing this license, the Artist acknowledges that they have read, understood, and agreed to all terms contained in this agreement.
