Licensing Framework for Professional Adaptation, Development & Production

Purchasing a PDF does not confer any rights to adapt, develop, or distribute the underlying intellectual property.
All rights licensing requires separate written agreement.
1. READER ACCESS TIER (Default Payhip Purchase)
Purpose: Individual reading, reference, and internal creative study.
Rights Granted:
- Non-exclusive, non-transferable reading license
- Personal review only
- Internal creative exploration permitted
- No reproduction or sharing
Rights NOT Granted:
- No development rights
- No adaptation rights
- No production rights
- No rights to pitch or market
- No redistribution, re-sale, or team/institutional use
- No training of machine learning models
- No “implied rights” of any kind
Summary:
You purchased access, not ownership.
2. DEVELOPMENT ACCESS TIER (Industry Use)
Purpose: For studios, producers, executives, agents, or companies evaluating IP for potential adaptation.
Requires: Signed Development License Agreement + fee or option arrangement.
Rights Granted:
- Non-exclusive development review
- Ability to share the PDF internally (limited team)
- Permission to prepare internal pitch materials
- Permission to evaluate adaptation feasibility
Rights NOT Granted:
- No public pitching
- No packaging with talent
- No marketing
- No attachment announcements
- No script commissioning without formal option
- No production greenlight
- No sublicensing
Summary:
Allows internal development exploration — but nothing can move forward without an Option Agreement.
3. EXCLUSIVE OPTION TIER (Adaptation Rights)
Purpose: Securing temporary exclusive rights to develop the IP for film, TV, audio, or other media.
Requires:
- Exclusive Option Agreement
- Option payment or fee
- Defined term (e.g., 12–18 months)
- Chain of title documentation
- Standard renewals available
Rights Granted:
- Exclusive adaptation rights during term
- Permission to commission scripts
- Permission to pitch to buyers
- Permission to attach talent
- Access to creator for development discussions
Rights NOT Granted:
- No production greenlight
- No release rights
- No merch or ancillary unless negotiated
- No permanent ownership
Summary:
You control development exclusively — but production requires a production license.
4. PRODUCTION RIGHTS TIER (Full Adaptation License)
Purpose: Permission to produce, distribute, and commercially exploit the work in selected mediums.
Requires:
- Negotiated Production License Agreement
- Fee structure (flat, escalators, backend, or royalty)
- Defined territories & mediums
- Credit terms
- Profit participation terms
- Approvals and consultation rights
Rights Granted:
- Exclusive production & distribution rights
- Multi-medium exploitation (as contracted)
- Ancillary rights if negotiated
Rights NOT Granted (unless explicitly included):
- Merchandising
- Games
- Publishing
- Sequels
- Spin-offs
- Foreign remakes
- Audio adaptations
- Theme park / immersive rights
Summary:
This is the industry-standard path to full adaptation.
Nothing is “automatic” — everything is contractual.
5. ANCILLARY RIGHTS TIER (Optional Add-Ons)
Merch, audio, podcasts, games, novels, live events, collectibles, or interactive experiences.
Available only with a negotiated license.
