BASIC LICENSE AGREEMENT

Note: All licenses are non-refundable and non-transferable.
1. Master Use
The Licensor hereby grants to the Licensee a non-exclusive license (the "License") to record vocal performances in synchronization with the Composition, either in part or in its entirety, and substantially in its original form.
The resulting recording shall be referred to as the "Master Recording".
2. Mechanical Rights
The Licensor grants the Licensee a non-exclusive license to use the Master Recording for reproduction, duplication, manufacture, and distribution of physical and digital formats, including CDs, vinyl, digital downloads, streaming, and other audio/digital formats (collectively, the "Recordings").
Usage Limitations:
- Up to 2,500 distribution copies (physical or digital)
- Up to 25,000 audio streams
- Up to 25,000 video streams
Additional Permissions:
- 1 music video (monetized allowed)
- Monetization allowed on YouTube
- Use on platforms such as Spotify, YouTube, Apple Music, etc.
Restrictions:
- Radio airplay (2 stations) is not included
- Live performances for profit are not included
- Licensee may not exceed the copy or streaming limits stated above
Exceeding Limits:
If Licensee exceeds the licensed distribution or streaming limits, Licensee agrees to notify Licensor and upgrade the license. Continued use beyond the limits without upgrading constitutes a breach of this License.
3. Performance Rights
The Licensee may use the Master Recording only for non-profit performances, shows, or concerts.
Commercial/live-for-profit performance rights are not included in this License.
4. Synchronization Rights
The Licensor grants limited synchronization rights for one (1) music video streamed online (YouTube, Vimeo, etc.) for up to 25,000 monetized video streams in total across platforms.
A separate exclusive synchronization license must be purchased for use of the Composition in TV, Film, Video Games, or branded content.
5. Broadcast Rights
Broadcast rights are not included under this License.
6. Credit
The Licensee shall provide proper credit to the Licensor in all distributions, digital platforms, CD booklets, and public performances as follows:
“Produced by Jeyk Beats.”
7. Consideration
In consideration for the rights granted under this Agreement, the Licensee shall pay the Licensor $30 USD, receipt of which is hereby acknowledged.
Non-Payment: Failure to pay the full amount shall result in immediate termination of this License. Upon termination, Licensee shall have no rights to exploit the Composition or Master Recording.
8. Indemnification
Licensee agrees to indemnify and hold harmless the Licensor from any and all claims, losses, damages, liabilities, or expenses (including reasonable attorney’s fees) arising from Licensee’s misuse of the Composition or Master Recording, or from breach of any warranties or obligations under this Agreement.
9. Audio Samples
Licensee is responsible for clearing any third-party samples included in the Master Recording. Licensor is not liable for unauthorized use of third-party samples.
10. Miscellaneous
- This License is non-transferable
- This Agreement constitutes the entire agreement between the parties regarding the Composition
- Any amendments must be in writing and signed by both parties
11. Governing Law
This Agreement shall be governed by and construed under the laws of Brazil, without regard to conflict of law principles.
12. Term
This License is valid for a period of three (3) years from the Effective Date. Upon expiration, all rights granted herein shall terminate, unless a new license is purchased.
