UNLIMITED LICENSE AGREEMENT

Note: All licenses are non-refundable and non-transferable.

1. Master Use

The Licensor hereby grants to the Licensee a non-exclusive license (the "License") to record vocal performances in synchronization with the Composition, either in part or in its entirety, and substantially in its original form.

The resulting recording shall be referred to as the "Master Recording".

2. Mechanical Rights

The Licensor grants the Licensee a non-exclusive license to use the Master Recording for reproduction, duplication, manufacture, and distribution of physical and digital formats, including CDs, vinyl, digital downloads, streaming, and other audio and digital formats (collectively, the "Recordings").

Usage Limitations:

Unlimited distribution copies (physical or digital)
Unlimited audio streams
Unlimited video streams

Additional Permissions:

Unlimited music videos (monetized allowed)
Monetization allowed on YouTube
Use on platforms such as Spotify, YouTube, Apple Music, etc.
Radio airplay (unlimited stations)

3. Performance Rights

The Licensee may use the Master Recording for unlimited performances, shows, or concerts, including commercial/live-for-profit performances.

4. Synchronization Rights

The Licensor hereby grants synchronization rights for unlimited music videos streamed online (YouTube, Vimeo, etc.) with unlimited monetized video streams.

A separate exclusive synchronization license must be purchased for use of the Composition in any TV, Film, Video Game, or branded content.

5. Broadcast Rights

The Licensor hereby grants to the Licensee broadcasting rights for unlimited radio stations.

6. Credit

The Licensee shall provide proper credit to the Licensor in all distributions, digital platforms, CD booklets, and public performances as follows:

“Produced by Jeyk Beats.”

7. Consideration

In consideration for the rights granted under this Agreement, the Licensee shall pay the Licensor $150 USD, receipt of which is hereby acknowledged.

Non-Payment: Failure to pay the full amount shall result in immediate termination of this License. Upon termination, Licensee shall have no rights to exploit the Composition or Master Recording.

8. Indemnification

Licensee agrees to indemnify and hold harmless the Licensor from any and all claims, losses, damages, liabilities, or expenses (including reasonable attorney’s fees) arising from Licensee’s misuse of the Composition or Master Recording, or from breach of any warranties or obligations under this Agreement.

9. Audio Samples

Licensee is responsible for clearing any third-party samples included in the Master Recording. Licensor is not liable for unauthorized use of third-party samples.

10. Miscellaneous

This License is non-transferable.
This Agreement constitutes the entire agreement between the parties regarding the Composition.
Any amendments must be in writing and signed by both parties.

11. Governing Law

This Agreement shall be governed by and construed under the laws of Brazil, without regard to conflict of law principles.

12. Term

This License is valid for the lifetime of the Licensee from the Effective Date. Upon expiration of copyright protection of the Composition, all rights granted herein shall terminate.
