TRAINING BOOKING TERMS AND CONDITIONS

These Training Booking Terms and Conditions apply to training provided by PMC Business Solutions.

These details must be read together with the quotation, invoice or booking confirmation issued for the specific training.
1. DEFINITIONS
“Client” means the individual, school, organisation or business responsible for requesting or paying for the training.
“Delegate” means any person registered or nominated to attend the training.
“Individual Training” means face-to-face or online training provided to one delegate.
“Public Training” means a scheduled course where delegates book individually, whether personally or through an employer, school or organisation.
“Private Group Training” means training booked by one client for two or more delegates, including training conducted at the client’s premises or another agreed venue.
“Training Materials” include workbooks, eBooks, worksheets, exercise files, templates, examples and other resources supplied as part of the training.
“Working Day” means Monday to Friday, excluding South African public holidays.
2. ACCEPTANCE OF THESE TERMS
A booking is subject to:
• The quotation or booking confirmation issued for the training
• These Training Booking Terms and Conditions
• Any additional conditions agreed to in writing
By accepting a quotation, making payment or instructing PMC Business Solutions to proceed, the client confirms that these terms have been received, read and accepted.
Where a specific written quotation conflicts with these general terms, the specific quotation will apply to the extent of that conflict.
The version of these terms in effect when the booking is accepted will apply to that booking.
Nothing in these terms removes or restricts any right that cannot lawfully be excluded under South African law.
3. LANGUAGE AND TRAINING APPROACH
Training and Training Materials are provided in English unless another arrangement is confirmed in writing.
Training may follow a structured course outline or be adapted according to the delegates’ existing skills, progress and workplace requirements.
The facilitator may reasonably adjust the pace, sequence, exercises and examples while remaining consistent with the agreed purpose and level of the training.
Training supports learning and practical application. Attendance does not guarantee a particular level of competence, employment outcome, business result, examination result or professional certification.
4. QUOTATIONS, PAYMENT AND SECURING DATES
Quotations are valid for the period stated on the quotation.
No account facilities are offered unless otherwise agreed in writing. All invoices are payable in full upon presentation.
Preparation, development and project-related work will commence only once payment has been received, unless otherwise agreed in writing.
Requested training dates are provisionally reserved and are secured only once full payment has cleared in the nominated account.
A purchase order, internal approval or proof of payment does not constitute cleared payment unless otherwise agreed in writing.
PMC Business Solutions may release provisionally reserved dates if payment is not received by the required date.
5. TRAINING MATERIALS AND ACCESS LINKS
Training Materials and online access details will normally be sent to the delegate or nominated training coordinator before the training.
Where practical, these will be sent approximately 24 hours before the scheduled session. This period is an operational guideline and not a guaranteed delivery time.
Materials and access details will not be released before the required payment has been received.
The client or training coordinator is responsible for distributing the materials and joining instructions to all authorised delegates.
6. INDIVIDUAL FACE-TO-FACE TRAINING
The delegate must arrive at the agreed venue on time and bring the equipment specified in the booking confirmation.
If the delegate arrives late, the session will normally finish at the original agreed time. Additional time is subject to the facilitator’s availability and may be charged separately.
Where the delegate does not attend, cannot access the agreed venue or is not suitably prepared, the cancellation provisions in these terms will apply.
7. INDIVIDUAL ONLINE TRAINING
The delegate is responsible for providing:
• A stable internet connection of at least 5 Mbps for upload and download
• A computer or laptop capable of running the required software
• Working speakers or headphones
• A working microphone
• Screen-sharing capability
• The required software, updates and valid software licences
• Access to power for the duration of the session
A camera is optional unless specifically required in the booking confirmation.
A second monitor may improve the learning experience but is not required.
The delegate should test the online platform, microphone, sound, screen sharing and required software before the session begins.
Where training is interrupted by equipment, software, electricity or connectivity problems on the delegate’s side, the reserved training time will continue to run. The facilitator may provide reasonable assistance, but additional or replacement training time is not automatically included.
Where a material technical failure on the facilitator’s side prevents delivery, the affected portion of the session will be extended or rescheduled at no additional training charge.
8. PUBLIC TRAINING
A public course booking applies only to the registered delegate.
A substitute delegate may attend at no additional charge, provided PMC Business Solutions receives written notice before the course commences.
The course may proceed with the number of delegates registered at the closing date.
PMC Business Solutions may reasonably adjust the venue, platform or facilitator where necessary, provided that the essential nature of the training is not materially reduced.
Delegates must avoid displaying or sharing confidential employer, customer or personal information during public training.
9. PRIVATE GROUP AND IN-COMPANY TRAINING
The quoted group fee applies to the booking as a whole and not to individual attendance. A reduction in the number of delegates does not automatically reduce the agreed fee.
Unless otherwise agreed, the client is responsible for providing:
• A safe and suitable training venue
• A computer or laptop for every delegate
• The required software and valid software licences
• Suitable power outlets and charging facilities
• Reliable internet access where required
• Reasonable access to the venue before the training
• A projection system or suitably sized display for group demonstrations
• Secure parking for the facilitator
• Meals and refreshments for the facilitator where this forms part of the quotation or venue arrangements
The client must notify PMC Business Solutions before the training if delegates are using software other than Microsoft 365, Microsoft Office 2019 or a later supported version.
The facilitator may adapt demonstrations where versions differ, but cannot guarantee that every feature will be available in older, restricted, web-based or non-Microsoft applications.
The client is responsible for venue access, internal security clearance, delegate communication and ensuring that the delegates are available at the agreed starting time.
Delays caused by venue access, missing equipment, internal meetings or unavailable delegates do not automatically extend the training day.
10. DELEGATE SUBSTITUTIONS
Delegate substitutions are permitted at no additional charge.
PMC Business Solutions must be notified in writing before the training begins so that attendance records and materials can be updated.
A substitute delegate accepts the same booking conditions as the original delegate.
11. CANCELLATIONS AND POSTPONEMENTS BY THE CLIENT
All cancellation and postponement requests must be submitted by email to pmc.bus.sol@gmail.com
The request will be treated as received when PMC Business Solutions confirms receipt by email. If confirmation is not received within one working day, the client should follow up.
Cancellation charges are intended to compensate reasonably for reserved time, preparation completed, materials supplied, expenses incurred and the reduced opportunity to accept replacement work. They are not penalties.
INDIVIDUAL TRAINING
More than 24 hours’ notice:
The session may be moved once to another available date without an additional training charge. Any non-refundable expenses already incurred remain payable.
Fewer than 24 hours’ notice:
PMC Business Solutions may retain or charge a reasonable portion of the session fee, taking into account the notice provided, preparation completed and whether the time can be reallocated.
Failure to attend or cancellation after the session has started:
Up to 100% of the session fee may be retained or charged.
PUBLIC TRAINING
More than seven working days’ notice:
The client may nominate a substitute or request a credit towards another available public course. The credit will remain valid for 365 days from the original course date.
Fewer than seven working days’ notice:
PMC Business Solutions may retain or charge a reasonable portion of the fee, taking into account preparation completed, materials supplied, costs incurred and whether the place can be filled.
Failure to attend:
Up to 100% of the fee may be retained or charged. A substitute delegate may still be nominated before the course begins.
PRIVATE GROUP OR IN-COMPANY TRAINING
More than seven working days’ notice:
The client may request one transfer to an alternative available date. Any non-refundable travel, venue, accommodation, preparation or third-party expenses already incurred remain payable.
Fewer than seven working days’ notice:
PMC Business Solutions may retain or charge a reasonable portion of the fee based on the preparation completed, costs incurred, time reserved and the possibility of obtaining replacement work.
Fewer than three working days’ notice, failure to provide access to the venue or failure of the group to attend:
Up to 100% of the agreed training fee may be retained or charged.
Any rescheduled training is subject to facilitator availability and must normally take place within six months of the original date.
12. DELAYS AND LATE ATTENDANCE
Delegates should be ready to begin at the confirmed starting time.
Training delayed by a delegate or client will normally end at the original agreed time.
Where all parties agree to extend the session, the additional time may be charged at the facilitator’s applicable hourly rate.
A delegate who joins after training has started is responsible for catching up on missed content. The facilitator is not required to repeat completed sections where this would disadvantage the other delegates.
13. CANCELLATION OR POSTPONEMENT BY PMC BUSINESS SOLUTIONS
PMC Business Solutions may postpone training where the facilitator is ill, unavailable due to an emergency or prevented from delivering the training by circumstances reasonably beyond their control.
The client will be offered a mutually acceptable replacement date.
If PMC Business Solutions cancels the training and a suitable replacement date cannot be agreed, the amount paid for training not delivered will be refunded.
PMC Business Solutions will not be responsible for indirect or consequential losses arising from a reasonable cancellation or postponement, including lost production time, travel arrangements or accommodation, except where liability cannot lawfully be excluded.
14. CIRCUMSTANCES BEYOND REASONABLE CONTROL
Neither party will be responsible for failure or delay caused by circumstances reasonably beyond its control, including severe weather, fire, natural disaster, civil disruption, widespread power failure, load shedding, telecommunications failure, government restriction, pandemic, serious illness or another emergency.
The parties will first attempt to reschedule the affected training.
Payments for undelivered training will be transferred to the replacement date. If the training cannot reasonably be rescheduled, the parties will agree on an appropriate refund or credit after accounting for training already delivered and unavoidable third-party costs.
15. SOFTWARE, DEVICES AND CLIENT FILES
The client and delegates are responsible for their own software licences, devices, antivirus protection, backups and access credentials.
Delegates should not use live confidential, sensitive or irreplaceable business data during training unless this has been agreed in advance.
Where a client asks the facilitator to work with its files:
• The client confirms that it has authority to provide and use those files
• The client remains responsible for maintaining suitable backups
• Confidential or personal information should be removed or anonymised where practical
• PMC Business Solutions may refuse to open a file that appears unsafe, infected, corrupted or unrelated to the training
• Training assistance does not constitute an audit or guarantee that a workbook, formula, process or dataset is complete or error-free
PMC Business Solutions will take reasonable care when handling client files but will not be responsible for pre-existing corruption, data loss, malware, software incompatibility or changes made by the client or delegates.
16. TRAINING MATERIALS AND INTELLECTUAL PROPERTY
All Training Materials remain the intellectual property of PMC Business Solutions or the identified rights holder.
Payment provides registered delegates with a limited, non-exclusive and non-transferable right to use the supplied materials for their own learning and internal workplace application.
Unless written permission is obtained, Training Materials may not be:
• Sold, sublicensed or commercially redistributed
• Uploaded to public websites, shared drives or learning platforms
• Copied or distributed to people who were not registered for the training
• Presented or delivered as another person’s training material
• Modified to remove ownership, copyright or attribution notices
Templates or working files specifically released for workplace use may be used internally for the purpose explained during the training. This does not transfer ownership of the underlying training material or methodology.
17. RECORDING AND SCREEN CAPTURE
Training may not be audio-recorded, video-recorded, photographed, screen-recorded, transcribed by an automated service or broadcast without prior written consent from PMC Business Solutions and any affected delegates.
PMC Business Solutions will not record a session without notifying the client and delegates and obtaining any consent required by law.
18. CONFIDENTIALITY
PMC Business Solutions will use reasonable care to protect confidential information intentionally disclosed for the purpose of delivering the training.
The client and delegates remain responsible for deciding what information may safely be displayed, uploaded or discussed.
Confidentiality cannot be guaranteed during public training where information is voluntarily disclosed in front of other delegates.
Unless separately agreed in writing, the facilitator is not accepting custody of the client’s original records, passwords, financial information or other critical business data.
19. PERSONAL INFORMATION
PMC Business Solutions may collect and use personal information reasonably required to:
• Process enquiries and bookings
• Issue quotations, invoices and receipts
• Communicate with clients and delegates
• Maintain attendance and training records
• Deliver training and post-training support
• Meet legal, tax and administrative obligations
Personal information will be processed for legitimate training and administrative purposes and handled in accordance with applicable South African privacy law.
Delegate contact information will not be added to unrelated marketing communications without an appropriate lawful basis.
20. DELEGATE CONDUCT AND SAFETY
Delegates must behave respectfully and must not disrupt the training, harass another person, compromise confidential information or use the training environment unlawfully.
The facilitator may suspend or end a session where conduct, venue conditions, equipment or another circumstance creates a material safety, security or operational risk.
Any fee adjustment will depend on the reason for termination and the extent of training already delivered.
21. POST-TRAINING SUPPORT
Unless otherwise stated in the quotation, registered delegates may request reasonable, brief telephonic assistance for 30 calendar days after the training.
Free support is limited to questions about applying a skill taught during the training and is subject to facilitator availability.
It does not include:
• New training
• Repeating substantial parts of the course
• Spreadsheet development or redesign
• File repairs or data recovery
• Troubleshooting unrelated software or hardware
• Business consulting or ongoing operational support
Work falling outside the free-support scope may be quoted separately.
22. LIMITATION OF RESPONSIBILITY
Training provides instruction, examples and practical guidance. The client and delegates remain responsible for checking their work, maintaining backups and deciding how any skill, formula, file or process will be used.
To the fullest extent permitted by law, PMC Business Solutions will not be responsible for indirect, incidental, special or consequential loss resulting from the application or misuse of training content.
Where PMC Business Solutions is legally liable, its aggregate liability arising from a training booking will not exceed the amount paid for the affected training, except where such a limitation is prohibited by law.
Nothing in these terms excludes liability for fraud, wilful misconduct, gross negligence or any other liability that cannot lawfully be excluded.
23. COMPLAINTS AND DISPUTES
A client or delegate should submit any complaint in writing to pmc.bus.sol@gmail.com as soon as reasonably possible.
The parties will first attempt to resolve the matter in good faith through direct discussion.
These terms are governed by the laws of the Republic of South Africa. Nothing in this clause prevents a consumer from approaching the National Consumer Commission, a consumer court, an ombud with jurisdiction or another competent authority where legally entitled to do so.
24. CHANGES TO THESE TERMS
PMC Business Solutions may update these terms from time to time.
Changes will apply only to bookings accepted after the updated terms have been published, unless a change is required by law or separately agreed with the client in writing.
