DIGITAL AUDIO PRODUCTS – DJ & PROMOTIONAL LICENSE

These Terms & Conditions (“Agreement”) govern the purchase and use of all digital audio products (“Audio Files”, “Tracks”, “Songs”) sold by Ayanda Amapiano

(“Seller”, “We”, “Us”).

By purchasing, downloading, accessing, or using any Audio File, you (“Buyer”, “You”) agree to be legally bound by this Agreement.

If you do not agree, do not complete the purchase.

1. PRODUCT TYPE & DELIVERY

1.1 All products sold are digital audio files delivered electronically.

1.2 No physical goods are shipped.

1.3 Delivery is deemed complete once download access is provided.

2. OWNERSHIP & RIGHTS RESERVED

2.1 All Audio Files are protected by copyright and related intellectual property laws.

2.2 All rights not expressly granted are reserved by the Seller.

2.3 Purchase of an Audio File does not transfer ownership.

3. LICENSE GRANT (LIMITED, DJ & PROMOTIONAL USE)

Upon purchase, the Seller grants the Buyer a limited, non-exclusive, non-transferable, revocable license to use the Audio File solely for the purposes outlined below.

This license is granted subject to full compliance with this Agreement.

4. PERMITTED USES

The Buyer MAY:

4.1 Personal Use

• Listen privately
• Store on personal devices

4.2 DJ PERFORMANCE USE

• Play the Audio File in live DJ sets
• Use in clubs, festivals, events, and private or public performances
• Test the track in sets for crowd response

4.3 PROMOTIONAL SOCIAL MEDIA USE

• Use short excerpts only (maximum 60 seconds)
• Post non-monetized content on platforms such as:
• Instagram
• TikTok
• YouTube (non-monetized only)
• Facebook
• Use the Audio File solely for promotion and discovery
• Clearly credit and tag the Seller/Artist where possible

5. STRICTLY PROHIBITED USES

The Buyer may NOT, under any circumstances:

• Sell, resell, sublicense, rent, lease, or distribute the Audio File
• Share or forward the Audio File in any form
• Upload the full track or stems to any platform
• Upload to streaming or DSP services, including but not limited to:
• Spotify, Apple Music, SoundCloud, Audiomack
• Monetize any content containing the Audio File
• Include the Audio File in:
• Paid DJ mixes
• Compilations
• Sample packs
• Use the Audio File in advertisements, sponsorships, or branded content
• Remix, sample, modify, or create derivative works
• Claim authorship or ownership
• Remove, alter, or attempt to defeat watermarking or identifiers

Any violation constitutes copyright infringement and material breach.

6. AUDIO WATERMARKING & TRACKING

6.1 All Audio Files contain embedded digital watermarks and forensic identifiers unique to each purchase.

6.2 These identifiers:

• Do not affect sound quality
• Allow the Seller to trace unauthorized distribution back to the original Buyer

6.3 By purchasing, the Buyer explicitly consents to:

• Watermarking
• Transaction-based identification
• Use of watermark evidence for enforcement and legal action

7. ENFORCEMENT & REMEDIES

7.1 Any breach results in immediate termination of the license without notice.

7.2 The Seller may pursue all remedies available under law, including:

• DMCA takedown notices
• Platform copyright strikes
• Civil litigation
• Injunctive relief
• Statutory and actual damages

7.3 Buyer agrees to pay ALL legal fees and costs, including but not limited to:

• Attorney fees
• Court costs
• Investigation and forensic analysis
• Enforcement and collection costs

This obligation survives termination of the license.

8. NO REFUNDS – DIGITAL PRODUCTS

8.1 ALL SALES ARE FINAL.

8.2 Due to the nature of digital products:

• No refunds
• No exchanges
• No chargebacks

8.3 Any unauthorized chargeback constitutes fraud and breach of contract.

9. TERMINATION & DELETION

9.1 Upon termination, the Buyer must:

• Cease all use
• Permanently delete all copies
• Confirm deletion upon request

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, the Seller shall not be liable for indirect, incidental, or consequential damages.

11. GOVERNING LAW & JURISDICTION

This Agreement shall be governed by the laws of South Africa.

Buyer submits to exclusive jurisdiction in that location.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties and supersedes all prior communications.

13. ACCEPTANCE

By clicking “Buy”, “Purchase”, or downloading the Audio File, the Buyer confirms that they have read, understood, and agreed to this Agreement.
