These Professional Disclaimer & Terms of Use (“Terms”) govern access to and use of professional resources, templates, reference materials, educational content, and other digital products made available through the Clinical Practice Documentation Library (“CPDL”), a resource platform operated by Sammi's Corner, LLC.

By purchasing, downloading, accessing, or using a CPDL resource, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree with these Terms, you should not purchase, download, access, or use CPDL resources.

CPDL resources are professional practice-support and educational materials developed to assist behavioral health professionals with clinical documentation, workflow organization, client communication, risk awareness, and related practice activities.

CPDL resources are intended to supplement—not replace—the user’s professional education, training, experience, clinical judgment, supervision, consultation, organizational policies, or other professional responsibilities. Resources may require modification before use based on the clinician’s discipline, scope of practice, practice setting, client population, jurisdiction, and applicable professional requirements.

Nothing provided by CPDL establishes a standard of care or represents that any particular document, template, workflow, or documentation approach is appropriate for every client, clinical circumstance, organization, profession, or jurisdiction.

CPDL resources are provided as professional practice-support and educational materials. They do not constitute legal advice, individualized medical advice, regulatory advice, tax advice, or other professional advice outside the scope expressly stated for the resource.

CPDL does not act as the user’s attorney, compliance officer, payer representative, licensing board, accreditation body, or regulatory authority. References to laws, regulations, professional standards, payer requirements, medical necessity, documentation practices, or compliance considerations are provided for general informational and practice-support purposes and should not be interpreted as a legal opinion or determination of compliance.

Users are responsible for consulting appropriately qualified legal counsel, compliance professionals, licensing authorities, payers, supervisors, or other relevant professionals when guidance specific to their circumstances is required.

CPDL resources are designed to support professional practice and documentation but do not replace independent clinical judgment. The licensed or otherwise qualified professional using a CPDL resource remains solely responsible for evaluating each client’s individual circumstances, determining appropriate assessment and treatment decisions, and ensuring that documentation accurately reflects the services actually provided.

Templates, examples, prompts, suggested language, checklists, and other CPDL materials should be reviewed and modified as appropriate before use. Users should not include statements, findings, interventions, diagnoses, risk determinations, medical-necessity conclusions, or other clinical information in a record unless such information is accurate, clinically supported, and applicable to the individual client and service provided.

Use of a CPDL resource does not transfer professional responsibility for clinical decisions, documentation, supervision, treatment, or client care to CPDL or Sammi's Corner, LLC.

CPDL resources are designed for use across varied professional practice environments and are not jurisdiction-specific unless expressly identified otherwise. Laws, regulations, licensing requirements, professional standards, documentation requirements, organizational policies, accreditation standards, and payer rules may differ by jurisdiction, profession, practice setting, service type, and funding source and may change over time.

Users are responsible for determining which requirements apply to their individual practice and for reviewing and adapting CPDL resources accordingly. References to Medicare, Medicaid, commercial insurance, medical necessity, coverage criteria, documentation standards, or other payer-related requirements should be independently verified against the applicable current statutes, regulations, coverage policies, contracts, manuals, and official payer guidance before implementation.

Purchase or use of a CPDL resource does not constitute certification that the user’s documentation, practice, billing, coding, reimbursement, or other professional activities comply with any particular law, regulation, licensing requirement, accreditation standard, contractual obligation, or payer policy.

CPDL and Sammi's Corner, LLC do not guarantee that use of any resource, template, checklist, workflow, or suggested documentation approach will result in reimbursement, payment approval, audit success, regulatory compliance, licensing compliance, accreditation approval, favorable legal outcomes, improved clinical outcomes, or any other specific result.

Coverage determinations, payment decisions, audit findings, regulatory interpretations, legal conclusions, and clinical outcomes depend on many factors outside the control of CPDL, including the facts of the individual case, the quality and accuracy of the underlying documentation, applicable law, payer policy, contractual requirements, professional standards, and the independent decisions of third parties.

Users remain responsible for verifying requirements applicable to their practice and for exercising independent professional judgment when implementing any CPDL resource.

Upon purchase, CPDL grants the purchaser a limited, non-exclusive, non-transferable license to access, download, and use the purchased resource for the purchaser’s own professional practice or other expressly authorized purpose. Purchase of a CPDL resource does not transfer ownership of the underlying intellectual property.

Unless a product expressly states otherwise, purchasers may customize editable materials for use within their own professional practice, including adapting forms, templates, language, branding, and workflow elements to meet legitimate practice needs.

A purchaser may use appropriately customized client-facing materials with the purchaser’s own clients as part of ordinary professional services. This license does not authorize the purchaser to sell, sublicense, publish, distribute, share, or otherwise provide the original or modified CPDL resource to other professionals, organizations, businesses, or third parties except as expressly permitted in writing by Sammi's Corner, LLC.

Unless expressly authorized in writing by Sammi's Corner, LLC, purchasers may not reproduce, resell, sublicense, redistribute, publish, upload, share, transfer, or otherwise make CPDL resources available to other individuals, clinicians, organizations, businesses, marketplaces, websites, repositories, artificial intelligence training datasets, or other third parties.

Purchasers may not remove or obscure proprietary notices; represent CPDL materials as their own original commercial products; create competing products substantially derived from CPDL resources; sell or distribute modified versions of CPDL templates; or use CPDL resources in a manner that infringes intellectual property or other applicable rights.

Purchase of a single-user resource does not constitute an organizational, group, site, supervisory, classroom, or enterprise license. Practices, agencies, educational institutions, supervisors, training programs, or other organizations seeking broader use should obtain any separate license offered by CPDL or written authorization from Sammi's Corner, LLC.

CPDL resources and associated materials, including protectable content, original selection and arrangement, compilations, organization, branding, trade names, logos, design elements, graphics, product architecture, and other proprietary materials, are owned by or licensed to Sammi's Corner, LLC and are protected to the extent provided by applicable intellectual property and other laws.

Purchase, download, or use of a CPDL resource provides only the limited license described in these Terms and does not transfer ownership of CPDL intellectual property or grant any right to reproduce, publish, distribute, sublicense, sell, or commercially exploit CPDL materials except as expressly authorized.

Certain CPDL resources may be developed with the assistance of technology, including artificial intelligence tools, as part of a broader human-directed research, development, editorial, clinical-review, selection, organization, and design process. Nothing in these Terms is intended to claim exclusive rights in material that is not eligible for intellectual property protection under applicable law.

To the fullest extent permitted by applicable law, CPDL and Sammi's Corner, LLC, including their owners, employees, contractors, and agents, shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the purchase, access, use, misuse, modification, or inability to use any CPDL resource.

Users assume responsibility for determining whether a CPDL resource is appropriate for their professional needs and for reviewing, adapting, and implementing resources in accordance with applicable laws, professional standards, clinical circumstances, organizational requirements, and payer obligations. CPDL and Sammi's Corner, LLC are not responsible for decisions made or actions taken by users, clients, payers, regulators, licensing authorities, employers, organizations, or other third parties based on or related to the use of CPDL resources.

To the fullest extent permitted by applicable law, the aggregate liability of CPDL and Sammi's Corner, LLC arising from or relating to a purchased CPDL resource shall not exceed the amount actually paid by the purchaser for the specific resource giving rise to the claim.

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Sammi's Corner, LLC, CPDL, and their owners, employees, contractors, and agents from and against third-party claims, liabilities, damages, losses, costs, and reasonable expenses arising from or relating to your misuse of CPDL resources, violation of these Terms, unlawful redistribution or commercial exploitation of CPDL materials, or infringement of another person's rights through your use or modification of CPDL resources.

This obligation does not apply to the extent a claim results from conduct for which indemnification cannot lawfully be required under applicable law.

CPDL products are digital resources delivered electronically. Purchasers are responsible for reviewing the product description, included materials, file formats, software requirements, and other available product information before completing a purchase.

Because digital products may be accessed, downloaded, copied, or otherwise retained after delivery, purchases are generally considered final once digital access or delivery has occurred, except where a refund, cancellation, or other remedy is required by applicable law or expressly provided by Sammi's Corner, LLC.

If a purchaser experiences a technical problem accessing a purchased resource, receives an incorrect or materially defective file, or believes a billing error has occurred, the purchaser should contact Sammi's Corner, LLC so the issue can be reviewed and an appropriate resolution determined.

Nothing in these Terms is intended to waive or restrict any non-waivable consumer right or remedy available under applicable law.

CPDL resources are provided as documentation and professional practice-support tools. Users are solely responsible for maintaining the privacy, confidentiality, and security of client, patient, employee, or other sensitive information entered into, stored within, transmitted through, or otherwise used in connection with customized CPDL resources.

Users should not transmit protected health information (“PHI”), personally identifiable information, or other confidential client information to CPDL or Sammi's Corner, LLC through customer-support communications, product inquiries, or other channels unless expressly authorized and an appropriate secure process has been established.

Purchase or use of a CPDL resource does not establish a business associate relationship under the Health Insurance Portability and Accountability Act (“HIPAA”), nor should the availability of a resource be interpreted as representing that a particular software platform, storage method, transmission method, or workflow is HIPAA compliant or otherwise appropriate for confidential information.

Users remain responsible for implementing appropriate administrative, physical, and technical safeguards and for complying with applicable privacy, confidentiality, recordkeeping, and data-security requirements within their own professional environments.

CPDL and Sammi's Corner, LLC may revise, update, replace, discontinue, or otherwise modify CPDL resources from time to time to reflect changes in professional practice, documentation standards, product design, available guidance, or other considerations. Unless expressly stated otherwise, purchase of a resource does not guarantee access to future editions, revisions, replacement products, or newly developed materials.

These Terms may also be revised periodically. Updated Terms will become effective when posted with a revised effective date, except where additional notice or consent is required by applicable law. Continued access to or use of CPDL resources after an applicable update constitutes acceptance of the revised Terms to the extent permitted by law.

Users are responsible for reviewing the version of a resource they are using and independently determining whether information, references, standards, or requirements remain current and appropriate for their practice.

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict-of-law principles, except to the extent otherwise required by applicable law.

If any provision of these Terms is determined by a court or other authority of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be interpreted or limited to the extent necessary to make it enforceable where permitted by law, and the remaining provisions shall continue in full force and effect.

The failure of CPDL or Sammi's Corner, LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or of the right to enforce it subsequently.
