Terms of sale
Version 1.0. Last updated 17 October 2026. The version shown when you buy is the one that applies to your purchase.
Please read these terms before you buy. You can save or print them.
Part 1. For everyone
1. About us
The store at https://payhip.com/CognitoConsultants sells templates written by Cognito Consultants Ltd.
Cognito Consultants Ltd is a private limited company registered in England and Wales, company number 12928272.
Registered office: Office LG06, 1 Quality Court, Chancery Lane, London WC2A 1HR.
Email: info@cognitoconsultants.com
Complaints: complaints@cognitoconsultants.com
VAT number: GB439940166
In these terms, "we", "us" and "our" mean Cognito Consultants Ltd. "You" means the person or organisation buying.
2. How our store works with Payhip
Our store runs on Payhip, a platform provided by Payhip Ltd. Payhip provides the checkout and delivers your files. Payments go to us through Stripe. We write the templates, set the prices and these terms, and deal with refunds and complaints.
Payhip has its own End User Licence, dated 30 December 2014. It says the buyer enters a consumer contract with Payhip Limited, that content is licensed for you to use, browse and search, that downloading means you lose your right to cancel, and that content is supplied "as is". Read it at https://payhip.com/terms/end-user
These terms give you more than Payhip's End User Licence does. They give you a licence to edit and use our templates inside your organisation, with one purchase covering one organisation and all its sites (section 7), and they set out your rights as a consumer (Part 2). Whatever either document says, it cannot take away your legal rights as a consumer.
3. What you are buying
The PSIRF Starter Kit for independent healthcare providers and care services that use PSIRF (England). Ten templates, each with plain instructions and a filled-in worked example. The full contents are listed on the product page, and that description forms part of these terms.
- Format: one zip file with Word (.docx) and Excel (.xlsx) templates, and the "How to use this kit" guide as a separate PDF.
- What you need: software that opens .zip, .docx, .xlsx and .pdf files.
- Language and scope: English only. Written for England. Scotland, Wales and Northern Ireland use different frameworks.
- Download limit: your download link works up to 10 times.
- PDF stamping: Payhip stamps your email address on the pages of the PDF guide, to discourage unauthorised copying.
- Version: the version and the date it was last checked against NHS England's PSIRF guidance are shown on the product page and in every file.
The free sample. The proportionality decision log (Template 01 of the kit), as an Excel log and a Word decision record. There is no charge. Sections 1 to 3, 6 to 8, 10 and 18 to 22 apply to it, and the device damage paragraph in section 13.
4. How the contract is made
- Choose the kit on our store and go to the checkout.
- Enter your details. You can check and correct them before you pay.
- Answer the required question about your right to cancel (see Part 2).
- Pay by card through Stripe.
- The contract is made when your payment is confirmed. Payhip then shows your download link and emails you a receipt.
We keep a record of your order. You can ask us for a copy at any time, and your receipt email is your own record. These terms are available in English only. We do not follow any code of conduct for online sales.
5. Price and payment
The kit costs £149, including UK VAT. There are no other charges.
You pay at the checkout. Email us if you need a VAT invoice.
6. Delivery
Your download is available straight away after payment, or after checkout for the free sample, on screen and through the link in your receipt email.
If your download does not work, or you reach the download limit, email info@cognitoconsultants.com and we will help you get your files.
7. Your licence to use the templates
We own the copyright in our templates. When you buy the kit, we give you a licence to use them on these terms. One purchase covers one organisation and all its sites. The staff of that organisation may use and adapt the templates inside the organisation.
You may:
- edit and adapt the templates
- copy the wording into your own policies, plans, logs, letters and reports
- share the templates with people who work for your organisation, including staff, contractors, board members and trustees
- share your completed documents with anyone you need to, for example your commissioner, your regulator, your auditors, and the patients, families and staff you write to
You may not:
- sell, give away or share the templates themselves, blank or lightly changed, with any other organisation
- publish the templates, or upload them to a website or template library
- publish or sell the templates, or anything based on them, as your own product
- use the templates to deliver work for other organisations, for example as a consultant for your clients
- remove the Open Government Licence attribution line
Some templates are based on NHS England material, used under the Open Government Licence v3.0. Keep the line "Contains public sector information licensed under the Open Government Licence v3.0" wherever that material appears in your documents.
Your licence continues after the 12 months of updates end. If you break the licence terms, we may end your licence by telling you in writing.
8. General good practice, not advice
The templates are general good practice. They are not legal, clinical or regulatory advice. Using them does not by itself meet any contract, legal or regulatory requirement.
Please check NHS England's current PSIRF guidance and your commissioner's requirements. The engagement letters are templates to adapt. Check them with your own legal or indemnity adviser before use. You decide how to adapt and use the templates in your organisation.
The kit is written by Cognito Consultants in our own words. It is not produced, approved or endorsed by NHS England, CQC or any other regulator.
9. Updates for 12 months
An update is a new version of the same kit. If we update the kit within 12 months of your purchase, you can download the new version free from your original download link, and we will email you to let you know.
We review the kit every 12 months and when NHS England updates its PSIRF guidance. If nothing needs to change, we may not issue an update. We do not have to issue updates after the 12 months end.
10. Help after you buy
If you have a problem downloading or opening the files, email info@cognitoconsultants.com. We will reply within 2 working days.
11. How long the contract lasts
This is a one-off purchase. It is not a subscription and it does not renew. Our duties to send you updates last 12 months from your purchase.
Part 2. If you are a consumer
You are a consumer if you are an individual buying wholly or mainly for purposes outside your trade, business, craft or profession.
12. Your right to cancel
You have the right to cancel within 14 days. You lose that right once your download starts, if at checkout you agreed that your download could start straight away and acknowledged that you would lose your right to cancel. Our refund and cancellation policy https://payhip.com/CognitoConsultants/refund-policy explains how this works, how to cancel, and includes the model cancellation form.
13. Your rights if something is wrong
The law says the templates must be of satisfactory quality, fit for any particular purpose you told us about, and as described. We must also have the right to supply them.
- If a file is faulty, will not open, or is not as described, we will repair or replace it within a reasonable time and without significant inconvenience to you, at our cost.
- If we cannot, or do not do so within a reasonable time, you can have a price reduction, which may be the full price.
- If we did not have the right to supply the templates, you can have a refund.
- If something we supplied damages your device or other digital content, because we did not use reasonable care and skill, we will repair the damage or pay you compensation.
- If a fault appears within six months of the files being supplied to you, it is treated as having been there from the start, unless we show otherwise.
We pay refunds within 14 days of agreeing that you are owed one, using the same payment method, with no fee.
This is a short summary of your legal rights. For more information, contact Citizens Advice (www.citizensadvice.org.uk).
14. Our responsibility to you
If we break these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking them or of our failing to use reasonable care and skill. We are not responsible for loss that was not foreseeable.
We do not exclude or limit our responsibility where the law does not allow it. This includes death or personal injury caused by our negligence, fraud, and your rights under the Consumer Rights Act 2015.
Nothing in these terms affects your legal rights as a consumer.
Part 3. If you are a business customer
You are a business customer if you are buying for an organisation, or for your trade, business or profession. Most buyers of the kit are business customers.
15. Cancellation and refunds
Business customers do not have a legal right to cancel. Once your download is available, we do not give refunds, except for faulty or wrong files. If a file is faulty, corrupted or materially different from the description, tell us and we will replace it. If we cannot, we will refund the price you paid.
16. Our responsibility to you
Our total responsibility to you for anything to do with the kit is limited to the price you paid for it.
We are not responsible for indirect or consequential loss, or for loss of profit, business, contracts or goodwill.
We do not exclude or limit our responsibility where the law does not allow it. This includes death or personal injury caused by our negligence, and fraud.
17. Purchase orders
If your organisation sends us a purchase order, these terms apply to the kit, not the terms on the purchase order, unless we agree otherwise in writing.
Part 4. General
18. Reviews
Only people who have bought or downloaded from our store can leave a review. We publish all genuine reviews, including negative ones. We never pay for reviews, and we never offer anything in return for a review without saying so clearly. If you think a review on our store is fake or misleading, email info@cognitoconsultants.com and we will look into it.
19. Complaints
If you are unhappy with anything about your purchase, please tell us. Please send all complaints by email to complaints@cognitoconsultants.com. Email is the quickest way for us to look into your complaint and reply. We will acknowledge your complaint within 5 working days and reply in full within 20 working days.
We do not use an alternative dispute resolution scheme.
Complaints about how we handle your personal data follow our data protection complaints procedure https://payhip.com/CognitoConsultants/complaints.
20. Your personal data
Our store privacy notice https://payhip.com/CognitoConsultants/privacy-notice explains how we and Payhip use your personal data.
21. Changes to these terms
We may update these terms from time to time. The version shown when you buy is the one that applies to your purchase.
22. Law and courts
These terms are governed by the law of England and Wales, and the courts of England and Wales can deal with any dispute. If you are a consumer living in Scotland or Northern Ireland, you can also bring a claim in your local courts, and you keep any protections your local law gives you.
