Riimurae Terms of Service

For the purposes of these Terms, “Product” refers to any digital avatar, asset, model, texture, file, or compiled package created and sold by Riimurae.

Products may include original work created by Riimurae as well as licensed third-party components incorporated into a compiled model or asset.

All original intellectual property created by Riimurae remains the property of Riimurae. Third-party components remain the intellectual property of their respective creators and are subject to their original license terms in addition to these Terms.

By purchasing, accessing, or using any Product, you agree to be bound by these Terms. Continued use of any Product constitutes ongoing acceptance of these Terms.

These Terms constitute a legally binding agreement between you and Riimurae.

1. License Overview

Upon purchasing a Product, you are granted a personal, non-exclusive, non-transferable, and revocable license to use the Product in accordance with these Terms.

You are purchasing a license to use the Product, not ownership of the Product or any included assets.

All intellectual property rights in the Product, including original work created by Riimurae and any incorporated licensed assets, remain with their respective rights holders.

Your license is issued to you only and may not be shared, transferred, sublicensed, or distributed to any other person.

2. Purchasing for Someone Else

If you wish to purchase a Product for another individual, you must use Payhip’s official gift feature.

This is the only approved method for transferring a Product license. Any other form of sharing, forwarding, or transferring access is prohibited.

3. Prohibited Actions

3.1 Redistribution & Unauthorized Sharing

You agree not to:

Share, leak, upload, distribute, or otherwise make available any Product files (including but not limited to Unity packages, FBX files, textures, meshes, animations, PSDs, or any other included files).
Make the Product or its files available to any third party in any format.
Upload the Avatar or any included assets publicly on VRChat or any other platform.

3.2 Editing & Asset Use

You may edit Riimurae Products for your personal use in accordance with these Terms.

However, you may not:

Extract, reuse, or repurpose any part of the Product for use in other projects.
Claim ownership or authorship of the Product or any part of it.
Provide Product files to an editor unless the editor has purchased and owns a valid license to the same Product.

3.3 Commission Work

If you commission someone to edit or modify a Product:

Both you and the commissioned editor must own a license to the Product.
Shared purchases, group buys, or price splitting are not allowed.

3.4 Adult Content Guidelines

NSFW modifications are permitted only if both the user and the depicted character are 18 years of age or older. Depictions of minors in explicit content are strictly prohibited.

Public or private sharing of explicit content is permitted provided the user is 18 years of age or older and the content complies with all applicable laws and platform policies.

3.5 Anti-Piracy Rules

You may not:

Rip, extract, reverse-engineer, decompile, or recreate Product assets.
Participate in, promote, or knowingly support piracy communities, ripping groups, or asset-sharing servers involving the Product.

4. Providing Accurate Information

You agree that any usernames or identifying information provided at checkout (such as VRChat or Discord usernames) are accurate and belong to you.

This information may be used to verify license ownership, provide support, or investigate potential violations of these Terms.

5. License Types

5.1 Personal Use License

You may use Products for:

Private VRChat uploads
Personal edits and customization

You may not use a Personal Use License for:

Selling commission work that includes the Product.
Distributing free models that include the Product.

5.2 Commercial Use License

(Only applicable for Products where a Commercial License is explicitly offered.)

This license allows:

Use of the Product within avatars or models you sell.
Use of the Product in paid commission work.

Requirements:

You must credit Riimurae with a link to the original Product page where reasonably possible.

Clients may receive only the final compiled avatar or model. Standalone Product files or extracted assets may not be redistributed.

6. Editing & Modification Rules

You may customize Products created by Riimurae for your personal use in accordance with these Terms.

However, you may not:

Resell or distribute edited versions as standalone Products.
Use the Product to create hateful, extremist, illegal, or graphic violent content.
Share edited files in any manner that allows others to extract or reuse the Product or its assets.

7. License Revocation

Your license may be revoked without refund if you:

Violate any part of these Terms.
Participate in piracy, unauthorized distribution, or asset-sharing involving the Product.
Initiate a chargeback, payment dispute, or payment reversal without valid cause.

If your license is revoked, you must immediately and permanently delete all Product files and any copies in your possession or control.

8. Refunds & Chargebacks

Due to the digital nature of the Products, all sales are final unless required otherwise by applicable law.

By purchasing and downloading any Product, you acknowledge and agree that:

You waive any right to refunds, returns, or exchanges to the fullest extent permitted by law.
You will not initiate chargebacks, payment disputes, or payment reversals without valid cause.

Unauthorized chargebacks or payment disputes constitute a violation of these Terms and may result in the immediate revocation of your license and removal of access to all previously purchased Products.

9. Checkout Agreement

By completing a purchase, you confirm that you have read and understood these Terms and agree to be legally bound by them.

You acknowledge that acceptance of these Terms is required to complete a purchase and that a binding agreement is formed at the time of purchase.

10. Copyright & DMCA Enforcement

All Riimurae Products are protected under copyright law.

Unauthorized use, sharing, or distribution may result in:

DMCA takedowns.
Loss of access to purchased Products.
Legal action and claims for damages.
Reports to VRChat or relevant platforms.

11. Limited Commercial Streaming License

You are permitted to use the Product for livestreaming and monetized content (including donations, subscriptions, and ad revenue). This permission is non-exclusive and limited to streaming and standard content creation only.

You may not:

Sell merchandise featuring the Product.
License, resell, or redistribute the Product files.
Use the Product for trademarks, logos, or product sales.
Claim ownership or authorship of the original design.
Use the Product for commercial products outside of streaming.

You may modify the Product for personal branding and streaming purposes.

However, the base model, structure, and original design created by Riimurae remain the intellectual property of Riimurae. Licensed third-party components remain the intellectual property of their respective creators.

Any modified versions are considered derivative works and may not be sold, trademarked, or represented as wholly original designs.

This license does not transfer ownership of the underlying model or any included assets.

Riimurae retains ownership of all original intellectual property contained within the Product.

This license applies only to your individual use of the Product and does not grant exclusivity, ownership, or expanded rights beyond the standard purchase terms.

This license does not grant rights to extract or reuse any individual marketplace assets contained within the Product.

The Product may not be registered as a trademark or used as the primary protected brand asset of a business entity.

This permission may be revoked if these Terms are violated.

12. Limitation of Liability & No Warranty

All Products are provided “as is” without warranties of any kind, express or implied, to the fullest extent permitted by law.

Riimurae does not guarantee compatibility with all software versions, platforms, updates, or third-party tools.

Riimurae shall not be liable for:

Any loss of data, accounts, or digital assets.
Platform bans, restrictions, or penalties resulting from misuse of the Product.
Indirect, incidental, consequential, or special damages.
Technical issues arising from improper installation, modification, or third-party conflicts.

Your use of the Product is at your own risk.

In no event shall Riimurae’s total liability exceed the amount paid for the Product.

13. Changes to These Terms

Riimurae reserves the right to update or modify these Terms at any time.

Updated Terms will apply to all future purchases. Continued use of any Product after changes are published constitutes acceptance of the revised Terms.

It is your responsibility to review the Terms periodically for updates.

14. Acceptance

By purchasing, downloading, or using any Riimurae Product, you acknowledge that you have read, understood, and agree to be legally bound by these Terms.
