SketchSets Seller Agreement
Effective Date: 11/25/2025
This SketchSets Seller Agreement (“Agreement”) is a legal agreement between you (“Seller,” “you,” or “your”) and SketchSets (“SketchSets,” “we,” “us,” or “our”) governing your participation as a seller on the SketchSets marketplace (hosted via Payhip or other platforms we may use from time to time) (the “Marketplace”).
By applying to become a Seller, listing products, or offering digital goods through SketchSets, you agree to be bound by this Agreement, as well as our general Terms of Service, Licensing Terms, and any other policies referenced on the site (collectively, the “Platform Terms”).
If you do not agree to this Agreement, you may not sell on SketchSets.
1. Definitions
For purposes of this Agreement:
- “Marketplace” means the SketchSets online marketplace where digital products are listed and sold to customers.
- “Seller” means any individual or entity approved by SketchSets to list and sell Products on the Marketplace.
- “Products” means any digital goods, including but not limited to graphics packs, templates, presets, overlays, sound/FX packs, project files, and any other creative assets uploaded by Seller.
- “Customer” means any end user who purchases or downloads a Product from the Marketplace.
- “Net Revenue” means the total amount received from Customers for your Products, minus payment processing fees, platform fees, taxes, refunds, chargebacks, and any other applicable deductions.
2. Eligibility & Seller Account
2.1 Age and Capacity. You must be at least 18 years old (or the age of legal majority in your jurisdiction) and able to enter into binding contracts to sell on SketchSets. If you are acting on behalf of a business or organization, you represent that you have authority to bind that entity.
2.2 Application & Approval. To become a Seller, you must complete the SketchSets seller application or onboarding process. We may accept or reject any application at our sole discretion, including based on quality, originality, alignment with the Marketplace, or compliance history.
2.3 Account Information. You agree to provide accurate, complete, and up-to-date information (including contact details and payout information) and to update it as needed. If we believe your information is inaccurate or incomplete, we may suspend or terminate your seller access.
2.4 Non-Exclusivity. This Agreement is non-exclusive. You are free to sell your Products elsewhere, provided that doing so does not violate this Agreement or any relevant laws.
3. Product Submission, Review & Listing
3.1 Curation & Approval. SketchSets is a curated marketplace. All Products are subject to review and approval before or after listing. We may refuse, remove, or request changes to any Product at our discretion, including for quality issues, IP concerns, or policy violations.
3.2 Quality Standards. You agree that all Products you submit will meet SketchSets’ minimum quality standards, including:
- Clean, usable files;
- Clear, accurate descriptions and previews;
- Proper organization of layers, folders, or files where appropriate;
- No broken links, missing assets, or unusable content.
3.3 Originality & IP. You represent and warrant that:
- All Products are your original work, or you have obtained all rights necessary to sell them;
- Products do not include unlicensed copyrighted material, trademarks, characters, logos, or other third-party IP;
- Products do not violate any laws or rights (including privacy, publicity, or moral rights).
3.4 Prohibited Content. You may not upload Products that:
- Are plagiarized, copied, or resold from other marketplaces or creators;
- Use copyrighted or trademarked characters, brands, or assets without clear, written permission;
- Contain malware, viruses, or malicious code;
- Are deceptive, misleading, or misrepresented in previews/description.
3.5 Edits & Updates. You may update or improve your Products over time. SketchSets may also request updates or fixes if we discover issues affecting Customers (for example, broken files, missing fonts/resources, or compatibility problems).
4. Ownership & License Grants
4.1 Ownership. As between you and SketchSets, you retain ownership of your original Products, subject to the rights granted under this Agreement.
4.2 License to Customers. For each sale, you grant the Customer a license (personal or commercial, as specified on the product page) to use the Product under SketchSets’ Licensing Terms and any additional terms you clearly state in the product description or included license file. You agree that:
- You will not grant Customers rights that conflict with our Licensing Terms;
- You will not restrict Customers in ways that contradict what is clearly stated on the product page at the time of purchase.
4.3 License to SketchSets. You grant SketchSets a non-exclusive, worldwide, royalty-free license to:
- Host, store, reproduce, and display your Products and related assets (previews, thumbnails, descriptions, branding) on the Marketplace;
- Use your Products for marketing and promotional purposes, including social media posts, email campaigns, and Marketplace content, solely to promote SketchSets and your Products;
- Create resized or compressed versions of previews as needed for technical purposes.
This license continues for as long as your Products are listed on SketchSets and for a reasonable period afterward for archival and dispute-resolution purposes.
5. Pricing, Revenue Share & Payouts
5.1 Pricing. You may propose pricing for your Products, subject to SketchSets’ approval. We may provide guidance or request adjustments to maintain consistency, perceived value, and Marketplace standards.
5.2 Revenue Share. For each paid sale of your Product, you will receive a percentage of the Net Revenue according to your seller level (e.g., “Founding Seller,” standard seller, or other tiers) as communicated to you during onboarding or in your seller dashboard.
5.3 Fees & Deductions. You acknowledge and agree that payment processors, Payhip, and SketchSets may charge fees that are deducted from gross sales before calculating your share. These may include:
- Payment processing fees;
- Platform/hosting fees;
- Currency conversion fees;
- Refunds, chargebacks, or fraudulent transaction reversals.
5.4 Payout Schedule. Payouts will be made according to the schedule and method stated in the seller documentation or dashboard (for example, monthly or after hitting a minimum threshold). You are responsible for providing valid payout details (such as PayPal, bank info, etc.).
5.5 Taxes. You are solely responsible for reporting and paying any and all taxes (income tax, VAT, GST, etc.) arising from your earnings on SketchSets. We may provide basic reporting, but we do not provide tax advice and are not responsible for your tax obligations.
5.6 Refunds & Chargebacks. While SketchSets generally does not offer refunds for digital products, we reserve the right to issue a refund or credit to a Customer in special circumstances (e.g., duplicate purchase, corrupted file with no fix, fraudulent transaction). If a refund or chargeback occurs for your Product, we may deduct the relevant amount from your future payouts or request repayment if funds have already been paid out.
6. Customer Support & Updates
6.1 Customer Experience. SketchSets aims to provide a high-quality experience for buyers. You agree to cooperate with SketchSets in resolving customer issues related to your Products (e.g., broken files, missing assets, or installation questions).
6.2 Support Channels. Communication with Customers will typically be handled by SketchSets or via designated support channels. In some cases, we may forward support requests to you or coordinate on a resolution.
6.3 Bug Fixes. If your Product contains errors that materially affect its usability, you agree to make reasonable efforts to fix and re-upload updated files.
7. Compliance & Enforcement
7.1 Compliance with Laws. You agree to comply with all applicable laws and regulations, including intellectual property, consumer protection, privacy, export laws, and tax laws in your jurisdiction and in any jurisdiction where your Products are sold.
7.2 Policy Violations. If we believe you violated this Agreement or any Platform Terms, we may, at our discretion:
- Remove or unlist specific Products;
- Temporarily suspend your seller privileges;
- Withhold or delay payouts during an investigation;
- Permanently terminate your seller account.
7.3 Repeat or Serious Violations. Serious violations (such as repeated IP infringement, fraud, or malicious behavior) may result in immediate termination and potential legal action. SketchSets reserves the right to report illegal behavior to appropriate authorities, rights holders, or payment providers.
8. Term & Termination
8.1 Term. This Agreement remains in effect while you are a Seller on SketchSets, unless terminated by you or SketchSets.
8.2 Termination by Seller. You may request to close your seller account and remove your Products from sale at any time by contacting us, subject to a reasonable processing period. Existing Customer licenses will continue to be valid.
8.3 Termination by SketchSets. We may terminate or suspend your seller status at any time, with or without cause, including but not limited to:
- Policy violations;
- Low quality or repeated customer complaints;
- Fraud, IP infringement, or abusive behavior.
8.4 Effect of Termination. Upon termination:
- Your Products may be unlisted from future sale;
- Existing Customers may retain access to previously purchased Products, unless licenses are revoked for legal reasons (e.g., proven infringement);
- Any outstanding payouts owed to you may be processed, subject to deductions for refunds, chargebacks, or policy breaches.
9. Warranties & Indemnification
9.1 Seller Warranties. You represent and warrant that:
- You have full rights and authority to enter into this Agreement and license your Products;
- Your Products are original or properly licensed and do not infringe any third-party rights;
- Your Products do not contain malware or malicious code;
- All descriptions and previews accurately reflect the Product being sold.
9.2 Indemnification. You agree to indemnify, defend, and hold harmless SketchSets, its owners, affiliates, partners, and staff from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your Products;
- Your violation of this Agreement or Platform Terms;
- Your infringement of any intellectual property or other rights of a third party.
10. Limitation of Liability
To the maximum extent permitted by law:
- SketchSets will not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement, your Products, or your use of the Marketplace.
- SketchSets’ total liability to you for any claim arising out of or related to this Agreement will not exceed the total amount of revenue paid to you by SketchSets in the twelve (12) months preceding the claim.
11. Independent Contractor Relationship
You acknowledge that you are an independent contractor and not an employee, partner, or agent of SketchSets. Nothing in this Agreement creates an employment, partnership, or joint venture relationship. You are solely responsible for your own business, taxes, and legal obligations.
12. Miscellaneous
12.1 Governing Law. This Agreement will be governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict of law principles (you can change this jurisdiction if needed).
12.2 Entire Agreement. This Agreement, together with the Platform Terms, constitutes the entire agreement between you and SketchSets regarding your role as a Seller and supersedes any prior discussions or understandings.
12.3 Amendments. SketchSets may modify this Agreement from time to time. Updated versions will be posted on the site or sent via email. Your continued listing of Products after the effective date of any changes constitutes your acceptance of the updated Agreement.
12.4 Severability. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
12.5 No Waiver. Our failure to enforce any provision of this Agreement does not constitute a waiver of that provision or any other rights.
By applying to become a Seller, uploading Products, or listing items for sale on SketchSets, you acknowledge that you have read, understood, and agree to be bound by this Seller Agreement and all related Platform Terms.
