I. ALGEMENE VOORWAARDEN (NEDERLANDS)

1. Toepasselijkheid

Deze voorwaarden zijn van toepassing op alle digitale producten en diensten die door Tabwork (BCC bv) worden aangeboden via websites, online platforms (zoals Gumroad of Payhip) of andere verkoopkanalen.

Door een aankoop te voltooien verklaart de koper zich akkoord met deze Algemene Voorwaarden.

2. Producten en levering

• De producten bestaan uit digitale bestanden, voornamelijk Excel-sjablonen en hulpmiddelen.
• Levering gebeurt via een downloadlink of digitale toegang na betaling.
• Tabwork garandeert geen compatibiliteit met specifieke softwareversies, besturingssystemen of instellingen, tenzij dit expliciet vooraf is meegedeeld.

3. Gebruikslicentie

• De koper ontvangt een niet-exclusieve, niet-overdraagbare licentie om het product te gebruiken voor eigen professioneel of persoonlijk gebruik.
• Het is verboden de producten geheel of gedeeltelijk te kopiëren, door te verkopen, te verhuren, te verspreiden of beschikbaar te stellen aan derden, tenzij vooraf schriftelijk overeengekomen met Tabwork.

4. Indicatieve gegevens

• Alle bedragen, prijzen, data, uren, berekeningen of andere cijfers die in de sjablonen verschijnen zijn louter indicatief en enkel bedoeld ter illustratie of simulatie.
• Deze gegevens vormen geen offerte, contract, bestelling of toezegging.
• De gebruiker blijft steeds volledig verantwoordelijk voor input, controle en validatie van de resultaten.

5. Betaling

• Alle betalingen gebeuren elektronisch via de voorziene platformen.
• Bestellingen worden pas verwerkt na volledige betaling.
• Bij zakelijke klanten die achterstallige bedragen verschuldigd zijn, behoudt Tabwork zich het recht voor toegang of licenties tijdelijk te schorsen.

6. Intellectuele eigendom

• Alle intellectuele eigendomsrechten, inclusief auteursrechten, blijven eigendom van Tabwork (BCC bv).
• Het product mag uitsluitend worden gebruikt binnen de verleende licentie.
• Elke inbreuk kan leiden tot onmiddellijke beëindiging van de licentie en schadevergoeding.

7. Herroepingsrecht en digitale downloads

• Voor consumenten geldt het wettelijk herroepingsrecht.
• Omdat het gaat om digitale producten die onmiddellijk geleverd worden, verliest de koper dit recht zodra het downloaden is gestart, mits voorafgaand expliciet akkoord.

8. Garantie en ondersteuning

• Tabwork streeft naar correcte en functionele sjablonen.
• Consumenten behouden hun wettelijke rechten m.b.t. conformiteit van digitale inhoud.
• Voor zakelijke klanten worden producten geleverd “as is”, zonder bijkomende garantie.
• Ondersteuning gebeurt uitsluitend per e-mail en beperkt zich tot vragen rond toegang of technische werking. Er is geen garantie op updates of nieuwe versies.

9. Aansprakelijkheid

• Voor zover wettelijk toegestaan, is de totale aansprakelijkheid van Tabwork beperkt tot het bedrag van de aankoop.
• Tabwork is niet aansprakelijk voor:
• onjuist gebruik of verkeerde interpretatie van het sjabloon;
• beslissingen gebaseerd op ingevoerde of gegenereerde gegevens;
• indirecte schade, gevolgschade, gederfde winst of verlies van gegevens.
• De koper is verantwoordelijk voor het maken van back-ups en het verifiëren van resultaten.

10. Vrijwaring (zakelijke klanten)

Zakelijke klanten vrijwaren Tabwork voor alle aanspraken van derden die voortvloeien uit het gebruik of misbruik van de producten, inclusief schending van wet- en regelgeving of het doorgeven van bestanden aan derden.

11. Privacy & gegevensbescherming

• Tabwork verwerkt enkel persoonsgegevens die strikt noodzakelijk zijn voor de uitvoering van de overeenkomst (zoals naam, e-mailadres, facturatiegegevens).
• Verwerking gebeurt conform de GDPR. De gegevens worden niet doorgegeven aan derden, behalve waar dit wettelijk vereist is of voor de uitvoering van de betaling/levering noodzakelijk is.

12. Beëindiging van de licentie

Indien de koper deze voorwaarden schendt (bv. door illegale verspreiding), vervalt de gebruikslicentie onmiddellijk en zonder terugbetaling. Tabwork behoudt zich het recht voor verdere stappen te ondernemen.

13. Overmacht

Tabwork is niet gehouden tot nakoming indien dit onmogelijk wordt door omstandigheden buiten haar controle, zoals technische storingen, platformuitval of overheidsmaatregelen.

14. Toepasselijk recht en bevoegde rechtbank

• Op deze overeenkomst is Belgisch recht van toepassing.
• Geschillen worden bij voorkeur minnelijk geregeld. Indien dit niet lukt, is de rechtbank van Dendermonde bevoegd, behoudens dwingende consumentenregels.

II. GENERAL TERMS & CONDITIONS (ENGLISH)

1. Applicability

These Terms & Conditions apply to all digital products and services offered by Tabwork (BCC bv) via websites, online platforms (such as Gumroad or Payhip) or other sales channels.

By completing a purchase, the customer accepts these Terms & Conditions.

2. Products and delivery

• Products consist of digital files, mainly Excel templates and tools.
• Delivery takes place via download link or digital access after payment.
• Tabwork does not guarantee compatibility with specific software versions, operating systems or settings, unless explicitly communicated in advance.

3. License

• The customer receives a non-exclusive, non-transferable license to use the product for personal or professional purposes.
• It is prohibited to copy, resell, rent, distribute or make the products available to third parties, unless expressly agreed in writing with Tabwork.

4. Indicative data

• Any amounts, prices, dates, hours, calculations or other figures shown in the templates are purely indicative and for illustrative or simulation purposes only.
• Such data does not constitute a quotation, contract, order or commitment.
• The user remains fully responsible for input, verification and validation of results.

5. Payment

• All payments are processed electronically through the provided platforms.
• Orders are only fulfilled after full payment.
• For business customers with outstanding amounts, Tabwork reserves the right to suspend access or licenses.

6. Intellectual property

• All intellectual property rights, including copyrights, remain the sole property of Tabwork (BCC bv).
• Products may only be used within the granted license.
• Any infringement may result in immediate termination of the license and claims for damages.

7. Right of withdrawal and digital downloads

• Consumers have a statutory right of withdrawal.
• As digital products are delivered immediately, this right is waived once the download has started, provided the consumer has given prior explicit consent.

8. Warranty and support

• Tabwork strives to deliver accurate and functional templates.
• Consumers retain their statutory rights regarding conformity of digital content.
• For business customers, products are delivered “as is” without further warranties.
• Support is limited to email inquiries regarding access or technical functionality. No guarantee is given for updates or new versions.

9. Liability

• To the extent permitted by law, Tabwork’s total liability is limited to the purchase price of the product.
• Tabwork shall not be liable for:
• incorrect use or misinterpretation of the template;
• decisions made based on entered or generated data;
• indirect or consequential damages, lost profits or data loss.
• Customers are responsible for backups and verification of results.

10. Indemnity (business customers)

Business customers shall indemnify Tabwork against all claims from third parties arising from the use or misuse of the products, including breaches of law or passing on the files to third parties.

11. Privacy & data protection

• Tabwork only processes personal data necessary to perform the agreement (such as name, email, billing information).
• Processing is carried out in accordance with GDPR. Data will not be shared with third parties except where legally required or necessary for payment/delivery.

12. Termination of license

In case of breach of these Terms (e.g., illegal distribution), the license shall be terminated immediately without refund. Tabwork reserves the right to take further legal action.

13. Force majeure

Tabwork shall not be obliged to perform if prevented by circumstances beyond its reasonable control, such as technical failures, platform outages or government measures.

14. Governing law and jurisdiction

• These Terms & Conditions are governed by Belgian law.
• Disputes shall preferably be settled amicably. Failing this, the courts of Dendermonde shall have jurisdiction, without prejudice to mandatory consumer rules.

III. Taalclausule

In geval van interpretatieverschillen of tegenstrijdigheid tussen de Nederlandstalige en Engelstalige versie, primeert de Nederlandstalige versie.
