IMPORTANT: PLEASE READ THIS LICENSING AGREEMENT CAREFULLY BEFORE PURCHASING OR USING ANY SOUND PACKS FROM WGAUDIO BY PURCHASING, DOWNLOADING, OR USING MY SOUND PACKS, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT PURCHASE OR USE OUR SOUND PACKS.
This Licensing Agreement is entered into between you ("Licensee" or "You") and WGAudio, a sound pack provider based in the United Kingdom ("WGAudio" or "We"). This Agreement governs your use of sound packs and related materials provided by WGAudio, which may include sound recordings, musical compositions, samples, loops, presets, and any other associated content (collectively referred to as "Sound Packs").
1. Grant of License
Subject to your compliance with the terms and conditions of this Agreement, WGAudio grants you a non-exclusive, non-transferable, worldwide license to use the Sound Packs as follows:
a. Personal Use: You may use the Sound Packs for your personal, non-commercial projects.
b. Commercial Use: You may use the Sound Packs for commercial projects, including music production, sound design, and other audio-related applications, provided that you adhere to the terms and conditions set forth in this Agreement.
c. Restrictions: You may not resell, redistribute, sublicense, or otherwise make the Sound Packs available to third parties in any form, whether modified or unmodified, without the prior written consent of WGAudio. Additionally, you may not use the Sound Packs in a manner that infringes upon the intellectual property rights of WGAudio or any third party.
2. Ownership and Copyright
The Sound Packs and all associated content, including but not limited to audio recordings, samples, and presets, are owned by WGAudio and protected by copyright laws and international treaties. This Agreement does not grant you any ownership rights to the Sound Packs, but rather a limited license to use them in accordance with the terms specified herein.
3. Termination
WGAudio reserves the right to terminate this Agreement if you fail to comply with any of its terms and conditions. Upon termination, you must cease using the Sound Packs and destroy all copies of the Sound Packs in your possession.
4. Warranty and Disclaimer
WGAudio represents and warrants that it has the necessary rights to grant the license for the Sound Packs as set forth in this Agreement. However, the Sound Packs are provided "as is," without any warranties of any kind, whether express or implied. WGAudio disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
5. Limitation of Liability
In no event shall WGAudio be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Sound Packs, whether based on contract, tort, or any other legal theory, even if WGAudio has been advised of the possibility of such damages.
6. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
7. Changes to the Agreement
WGAudio reserves the right to modify this Agreement at any time. Any changes will be effective immediately upon posting on WGAudio's website. Your continued use of the Sound Packs after any such changes will constitute your acceptance of the modified Agreement.
By purchasing or using WGAudio's Sound Packs, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms and conditions.
