TERMS OF USE AND SINGLE-USER LICENSE


Effective Date: August 3, 2026


These Terms of Use apply to digital educational resources sold or provided by ModusCore™, including Primitive Reflexes & Communication: A Functional Access and Clinical Reasoning Toolkit for School-Based SLPs.


By purchasing, downloading, accessing, or using a ModusCore resource, you agree to these terms.


  1. EDUCATIONAL PURPOSE AND PROFESSIONAL SCOPE

ModusCore resources are intended for educational and professional-development purposes. They support observation, functional access, documentation, and clinical reasoning by appropriately qualified professionals.

The resources do not constitute medical advice, legal advice, diagnosis, treatment, or an individualized clinical recommendation. They are not reflex-integration programs and do not claim that retained primitive reflexes cause a student’s speech, language, feeding, literacy, behavioral, learning, or communication needs.


The purchaser remains responsible for exercising independent professional judgment, working within the purchaser’s scope of practice, following applicable laws and workplace policies, obtaining required consent, and making appropriate referrals when concerns fall outside that scope.


  1. SINGLE-USER LICENSE

Each purchase provides a limited, nonexclusive, nontransferable, revocable license for use by one individual purchaser.


The purchaser may:

• Download and store the resource on personal password-protected devices.

• Print working copies for the purchaser’s own professional use.

• Use applicable forms, checklists, or tools with students or clients personally served by the purchaser.

• Maintain one reasonable backup copy.

This license does not provide school-wide, clinic-wide, district-wide, organization-wide, or multi-user access. Additional users must purchase their own copies unless ModusCore provides written permission or a separate multi-user license.


  1. PROHIBITED USE

The purchaser may not:

• Share, forward, email, upload, post, or distribute the digital file or substantial portions of it to another person.

• Place the resource on a shared drive, learning-management system, public website, social-media account, file-sharing service, or artificial-intelligence training system.

• Resell, sublicense, rent, reproduce, translate, adapt, or create competing or derivative commercial products from the resource.

• Use the resource as course content, training material, or a paid presentation without written permission.

• Remove copyright, trademark, authorship, or other ownership notices.

• Represent the resource as the purchaser’s own work.


  1. INTELLECTUAL PROPERTY

Unless otherwise stated, all original text, organization, frameworks, worksheets, forms, graphics, branding, and other content within ModusCore resources are owned by ModusCore and protected by applicable intellectual-property laws.


ModusCore™ and associated branding may not be used in a manner suggesting affiliation, sponsorship, approval, or endorsement without written permission.


  1. STUDENT AND CLIENT PRIVACY

The purchaser is responsible for protecting all student, client, patient, and family information. No personally identifiable or confidential information should be sent to ModusCore unless specifically requested through an appropriate secure process.


The purchaser must follow all applicable privacy requirements, employer policies, and professional obligations when completing, storing, sharing, or disposing of forms generated through use of the resource.


  1. THIRD-PARTY RESOURCES

ModusCore resources may identify independent professionals, organizations, publications, websites, or public social-media accounts for additional education or exploration.


Unless expressly stated otherwise, these references do not indicate affiliation, sponsorship, approval, contribution, or endorsement by either ModusCore or the referenced party.


ModusCore does not control and is not responsible for third-party content, services, availability, or privacy practices.


  1. PURCHASE, DELIVERY, AND REFUNDS

Digital products are delivered electronically through Payhip or another stated delivery method. The purchaser is responsible for providing an accurate email address and maintaining compatible software and equipment.


Purchases are also governed by the separate ModusCore Refund and Digital Delivery Policy, which is incorporated into these Terms by reference.


Prices, discounts, promotional codes, and product availability may change without notice. Promotional codes have no cash value and may be limited, modified, or discontinued as permitted by law.


  1. NO GUARANTEE OF RESULTS

ModusCore does not guarantee any specific educational, clinical, therapeutic, behavioral, financial, or professional outcome from using its resources.


Results vary according to the individual student or client, the professional’s training and judgment, the setting, implementation, collaboration, and other factors beyond ModusCore’s control.


  1. DISCLAIMER AND LIMITATION OF LIABILITY

Resources are provided “as is” and “as available,” to the extent permitted by law. ModusCore makes no guarantee that every resource will meet every purchaser’s individual purpose or workplace requirements.


To the maximum extent permitted by law, ModusCore will not be liable for indirect, incidental, special, consequential, or professional damages arising from the purchase or use of a resource. Any direct liability will not exceed the amount paid for the specific product giving rise to the claim.


Nothing in these Terms excludes rights or remedies that cannot legally be excluded under applicable consumer-protection law.


  1. TERMINATION

The license automatically terminates if the purchaser violates these Terms. Upon termination, the purchaser must stop using the resource and delete or destroy unauthorized copies. Termination does not prevent ModusCore from pursuing available remedies for infringement or misuse.


  1. CHANGES TO THESE TERMS

ModusCore may update these Terms prospectively when its products, practices, or legal obligations change. The effective date will identify the current version. Changes will not retroactively remove rights that already vested under applicable law.


  1. GOVERNING LAW

These Terms are governed by the laws of the State of New York and applicable federal law, without limiting any mandatory consumer rights that apply based on the purchaser’s location.
