1. Purpose and contractual status
This Individual Licence defines the rights granted to the one named individual purchaser and Authorised User for the product or products identified in the applicable Product Schedule and Order Confirmation. It forms part of the contract between Vital Adaptation Ltd (“Vital Adaptation”, “we”, “us” or “our”) and that named individual (“you” or the “Authorised User”).
This Licence must be read with the applicable Order Confirmation, Product Schedule, Master Terms of Sale and Purchases, Refunds and Complaints Information. The Customer and Purchaser Privacy Notice explains how personal information is handled but does not expand the licence grant.
Purchase grants limited rights of use. It does not transfer copyright, ownership, trade mark rights or any other intellectual-property ownership.
2. Licensed product and Authorised User
The licensed product or products are those identified in the applicable Product Schedule and Order Confirmation, supplied digitally in the files identified in the final approved package record.
The Licence is granted to one named individual Authorised User. Unless Vital Adaptation agrees otherwise in writing, the purchaser and Authorised User must be the same person. Payment by an employer, business or other organisation does not give that payer any right to access or use the product.
3. UK Individual scope and product-specific basis
The applicable Product Schedule identifies the product-specific professional basis, intended purpose, contents, permissions, technical requirements, support and reliance boundaries.
The UK Individual Licence is for the Authorised User’s own professional use within the United Kingdom. The products are designed for the UK professional, legal and regulatory context. The Authorised User remains responsible for deciding whether the supplied product is appropriate to their profession, role, scope, setting and intended use.
The product must not be represented as profession-neutral, universally applicable, externally approved or designed for another jurisdiction. An overseas purchase does not create international use rights.
4. Grant and nature of Licence
Subject to payment of the applicable price and compliance with the governing documents, Vital Adaptation grants the Authorised User a limited, personal, non-exclusive, non-transferable and non-sublicensable licence to use the supplied edition of the product within the permitted scope below.
The Licence is continuing for lawful personal use of the supplied Version 1.0 edition. No subscription, renewal fee or automatic renewal applies. The Licence may be suspended or terminated following material breach as described below.
5. Permitted use
Download and retain the supplied files for the Authorised User’s own use.
Use the product for personal professional reference and continuing professional development.
Complete the resources in relation to the Authorised User’s own practice.
Store the files securely on a personal device or in a restricted personal workspace accessible only to the Authorised User.
Print reasonable personal working copies.
Adapt only those working templates that the applicable Product Schedule expressly identifies as editable, and only for the Authorised User’s own authorised practice, subject to section 6. Framework text, standards, structure and guidance are not editable templates unless a Product Schedule expressly says otherwise.
Retain legitimate completed records created through lawful use of the product.
Provide a completed record to a regulator, insurer, accountant, legal adviser, commissioner, auditor, employer or other legitimate recipient where reasonably required for the Authorised User’s own accountability.
6. Permitted adaptation of editable templates
A file may be adapted only where the applicable Product Schedule expressly identifies it as an editable working template. Permitted changes are limited to inserting local details, responsibilities, actions, evidence, review dates and internal version controls. They do not extend to the Framework text, standards, rationale, structure, methodology or publication design unless expressly stated.
When adapting a template, the Authorised User must:
retain appropriate acknowledgement of Vital Adaptation Ltd as the source;
retain relevant copyright and version information where reasonably practicable;
distinguish purchaser-added or purchaser-amended content from the controlled source resource;
check the adapted document against current law, professional standards, insurance requirements and local policies;
approve the adapted document through the Authorised User’s own governance arrangements before operational reliance;
accept responsibility for all content added, removed or changed.
Permitted adaptation does not authorise reproduction, redistribution, rebranding or creation of a competing product.
7. Core content that may not be altered or rebranded
Unless Vital Adaptation gives express written permission, the Authorised User must not alter, remove or rebrand the product’s core guidance, methodology, copyright notices, licence documents, controlled source information, product title, Vital Adaptation branding, controlled diagrams or graphics, or the meaning of standards presented as part of the Vital Adaptation Professional Practice Framework.
8. Completed records
A completed record is a product resource materially populated with the Authorised User’s own information, analysis, professional reasoning, actions, decisions, responsibilities, evidence, findings or review outcomes.
Completed records may be retained and, where reasonably necessary, shared with legitimate recipients for the Authorised User’s own accountability. The Authorised User remains responsible for lawful, secure and proportionate storage, sharing, retention and disposal.
This right does not permit the Authorised User to provide blank or reusable templates, or a completed record that functions as a substitute reusable copy of the product, to another person.
9. Prohibited access and sharing
Sharing original files, download links, passwords or access credentials.
Allowing any colleague, employee, associate, contractor, student, supervisee, volunteer or other person to use the product.
Providing blank or reusable templates to another person.
Uploading the product to a shared drive, intranet, learning platform, membership site, resource library or public website.
Saving the product in an organisational system where another person can access or reuse it.
Forwarding the ZIP package or individual product files.
10. Prohibited team, organisational and commercial use
Team, service, organisation-wide or multi-site use.
Using the product as an organisational governance system or internal staff resource.
Using the product as a client deliverable, consultancy resource, membership benefit or training pack.
Training others to use the product or delivering train-the-trainer activity.
Redistribution, resale, sublicensing, rental, hiring or charging another person for access.
Public publication, translation for distribution or unauthorised reproduction.
Rebranding, removing source information or representing the product as the Authorised User’s original product.
Creating a competing or substantially derivative commercial toolkit or publication.
Claiming endorsement, accreditation or approval by the NHS, HCPC, RCOT or another external body unless expressly confirmed.
A Team Licence is not available at initial launch. Any future wider licence will require separate availability, pricing, terms and express written grant.
11. Education, supervision and professional discussion
The Licence does not permit distribution to students, supervisees or course participants, inclusion in teaching materials, upload to an education platform, or use to assess or certify another person’s competence.
The Authorised User may discuss their own learning or completed records in supervision, audit or professional consultation where reasonably necessary, provided the other person does not receive reusable access to the product.
12. Professional responsibility and reliance
The product supports governance assessment, planning, assurance, monitoring, audit, review and business continuity.
It does not provide legal, regulatory, tax, insurance, employment or individual clinical advice. It does not certify competence, provide accreditation, approve governance arrangements or guarantee compliance.
The Authorised User remains responsible for competence, scope of practice, registration where applicable, insurance, supervision, local governance, risk assessment, safeguarding, implementation, checking current official requirements and obtaining specialist advice where necessary.
Use of the product does not guarantee legal, regulatory, professional, organisational, insurer or commissioner acceptance, a successful audit, or any particular professional or commercial outcome.
13. No duty of care to third parties
Vital Adaptation supplies the product to the named Authorised User as a professional governance resource. Vital Adaptation does not provide services to, assume responsibility for, or owe a professional duty of care to any client, patient, service user, colleague, employee, organisation or other third party affected by the Authorised User’s use or implementation of the product.
14. Insurance responsibility
The Authorised User is responsible for maintaining any professional indemnity, public liability, cyber, employer’s liability or other insurance reasonably required for their own activities and for confirming that their use and implementation of the product falls within the scope of that cover.
Purchase of the product does not provide insurance or confirm that an insurer will accept a particular activity, document or governance arrangement.
15. No third-party reliance
No third party may treat the product, an adapted template or a completed record as advice, approval or assurance provided by Vital Adaptation Ltd. This does not prevent a legitimate recipient from considering or relying on the Authorised User’s own information, professional judgement or decisions recorded in a completed record; responsibility for that content remains with the Authorised User.
Providing a completed record to a legitimate recipient does not create a contractual, advisory or professional relationship between that recipient and Vital Adaptation Ltd.
16. Copyright and intellectual property
Copyright and all other intellectual-property rights in the product remain with Vital Adaptation Ltd, Dr Joanna Byers or the relevant identified rights holder. The applicable copyright notice and Product Schedule identify the controlling position for each product. Protected expression may include original text, standards, structures, templates, diagrams, graphics, methodology, file architecture, publication design, branding and licence documents; this does not claim ownership of facts, law, public standards or third-party material.
The Authorised User must not remove or obscure copyright, authorship, source, document-code or version information. Lawful quotation, criticism, review and academic citation remain permitted to the extent allowed by law, provided use is proportionate, appropriately acknowledged and does not substitute for purchase.
17. Third-party materials and external references
Third-party names, publications, standards, tools, logos, images, quotations, research and other materials remain subject to the rights of their respective owners. Inclusion or reference does not transfer those rights or imply sponsorship, accreditation or endorsement. Required acknowledgements or source details are given in the product or its Product Schedule; no additional right to reproduce third-party material is granted.
Reference to legislation, professional standards, public bodies, research or external guidance does not imply sponsorship, endorsement, accreditation or responsibility by the referenced organisation. External sources may change after publication; the Authorised User must check current official sources where material.
18. Technical access and security
The product may include PDF, Microsoft Word, Microsoft Excel, ZIP, text or CSV files. The Authorised User is responsible for having reasonably current compatible software, adequate storage and a device capable of downloading and opening the stated file types.
The Authorised User must protect access credentials, maintain appropriate device and account security, download and retain the supplied files, and keep suitable backups. Differences caused solely by unsupported, outdated or alternative software do not necessarily mean the product is defective.
19. Delivery, support and corrections
Delivery, technical requirements and support arrangements are defined in the Product Schedule and order confirmation.
The purchase includes reasonable support for genuine download problems, missing listed files, corrupted supplied files and clarification of expected package contents. It does not include implementation consultancy, personalised document review, supervision, training, legal or regulatory advice, governance approval or unlimited support.
Vital Adaptation may issue minor corrections, clarifications or replacement files at its discretion. Future editions, major expansions and separate future products are not included unless expressly stated.
20. Future products and wider licences
Future products and wider licences are not included in this purchase unless expressly stated in the applicable Product Schedule and Order Confirmation. Their names, scope, contents, prices, terms and release dates remain subject to development and approval.
Purchase of this Individual Licence does not guarantee that any Team, organisational, educational, consultancy, facilitator, train-the-trainer or international licence will become available.
21. Licence duration, transfer and exceptional permissions
The Licence continues for lawful personal use of the supplied Version 1.0 edition unless terminated for material breach, continued use becomes unlawful, or the parties agree otherwise in writing.
The Licence may not be assigned or transferred. Vital Adaptation may approve a limited exceptional permission in writing. Any exception applies only to the stated purpose and does not create a wider or permanent right.
22. Licence breach and proportionate action
Material breach may include unauthorised sharing, shared-system uploading, team or organisational use, redistribution, resale, sublicensing, rebranding, unauthorised training use, removal of ownership information or creation of a competing commercial resource.
Where Vital Adaptation reasonably believes a breach has occurred, it may take proportionate lawful action, including seeking clarification, requiring the breach to stop, requiring deletion of unauthorised copies, suspending replacement-download access, requesting purchase of an appropriate wider licence where available, terminating the Licence or pursuing another lawful remedy.
23. Termination
Vital Adaptation may terminate the Licence where a material breach is not corrected within a reasonable period after notice, or immediately where there is deliberate or repeated unauthorised sharing, resale, unlawful use or serious intellectual-property misuse.
Following termination, the Authorised User must stop using blank reusable product resources and delete unauthorised copies. Legitimate completed records may be retained where required for legal, professional, insurance or governance reasons, provided they are not used to redistribute the product.
Termination for breach does not automatically create a refund entitlement. This does not affect statutory remedies concerning the original condition or supply of the digital content.
24. Statutory rights and refunds
Nothing in this Licence excludes or restricts any statutory right or remedy that cannot lawfully be excluded or restricted. Where the purchaser qualifies as a consumer, digital content must be of satisfactory quality, fit for any particular purpose made known where the law applies, and as described. The remedies provided by law—including repair or replacement, price reduction or refund where applicable—remain available.
Digital-supply consent, cancellation rights, faults, remedies, refunds and complaints are governed by the Master Terms of Sale and Purchases, Refunds and Complaints Information. No blanket “no refunds” rule applies.
25. Records and privacy
Vital Adaptation may retain proportionate records of the purchaser, Authorised User, product and version, purchase date, price, order reference, applicable contractual versions, checkout acknowledgements, fulfilment, support, refunds, permissions and licence concerns.
Personal information will be handled in accordance with the Customer and Purchaser Privacy Notice.
26. No external endorsement
The Authorised User must not state or imply that the product is approved, endorsed or accredited by the NHS, HCPC, RCOT, a regulator, insurer, commissioner, university, professional body or another external organisation unless Vital Adaptation has expressly confirmed the specific claim in writing.
27. Document hierarchy
The governing documents should be read together. Where a genuine inconsistency exists:
The Order Confirmation identifies what was purchased.
The Product Schedule governs product-specific contents, scope, technical requirements, price and support position.
This Individual Licence governs permitted and prohibited use.
The Master Terms of Sale govern general sale, payment, delivery, remedies and liability.
Nothing in this hierarchy reduces a mandatory statutory right.
28. Changes to the standard Licence
Vital Adaptation may revise the standard Licence for future purchases. The version applying to a completed purchase is the version supplied or identified when the contract was made, unless a change is required by law, benefits the Authorised User without reducing existing rights, or is expressly agreed by the parties.
Vital Adaptation will retain a record of the Licence version applicable to each sale.
29. Governing law and jurisdiction
This Licence is governed by the law of England and Wales. The courts of England and Wales will have jurisdiction, subject to any mandatory consumer right to bring proceedings in another applicable part of the United Kingdom.

31. Licence acceptance
By purchasing the product and accepting the applicable contractual documents at checkout, the purchaser confirms that they have read or had the opportunity to read this Licence; understand that it is for one named Authorised User only; understand the sharing, team, organisational, redistribution and training restrictions; accept responsibility for determining whether the product is appropriate to their role and intended use; and agree to comply with the Licence.
32. Publication control
This Licence was approved for external customer issue on 27 August 2026 following completion of the required publication, checkout and fulfilment controls.
