Terms of Sale & Single-Project Licence

1. About these terms


These terms apply to digital thermal-junction details, Psi-value reports, specification sheets and related files purchased from the Barlings KWA online store. They form a contract between the buyer and Barlings KWA Limited for the sale and licensed use of the purchased product.


Please read the product description, specification and these terms before purchasing. By completing an order, you agree to these terms and confirm that the project information supplied at checkout is accurate.


2. Seller and contact details


The seller is Barlings KWA Limited, company number 09094283.

3. What the product contains


Each product contains the files and information stated on its product page. This may include a junction drawing, construction specification, material and dimensional assumptions, thermal conductivities, U-values, modelling information and a calculated linear thermal transmittance or Psi-value.


The product is a pre-calculated standard detail, not a bespoke assessment of the buyer's project. It does not include a site inspection, verification of the proposed or as-built construction, coordination with other project information, a SAP or SBEM assessment, Building Control approval, or a warranty that a particular construction will be accepted or achieve a particular compliance result.


4. Checks required before purchase and use


The buyer must review the complete product description and specification and decide whether the product is potentially suitable for the licensed project.


Before using the drawing or any calculated value, the buyer and the competent project professionals must confirm that the proposed and as-built junction matches all relevant information stated in the purchased product, including geometry, dimensions, materials, thermal conductivities, insulation continuity, repeating and non-repeating elements, U-values, boundary conditions and construction requirements.


If any relevant feature differs, is omitted, is uncertain or changes during design or construction, the calculated Psi-value must not be used unless Barlings KWA has confirmed its applicability in writing or has completed an appropriate project-specific calculation.


5. Orders and the licensed project


The licensed project is the single project or named development identified by the buyer at checkout using the requested project name, reference, address or postcode. The buyer must provide enough information to distinguish it from other projects. Where the licensed project contains more than one building or plot, the product may be used for each relevant junction within that same project only where every building or plot matches the purchased specification.


If the project information is missing or ambiguous, Barlings KWA may ask for clarification before confirming the licence. A purchase cannot be reassigned to a different project after the product has been downloaded or used without our written agreement.


An order is accepted when Payhip issues the order confirmation and makes the digital product available, subject to successful payment and any fraud or security checks.


6. Digital delivery


The product is supplied electronically through Payhip. The buyer is responsible for providing a correct email address, retaining the receipt and download link, and downloading and safely storing the files within the permitted download limit.


The buyer should contact william@barlingskwa.co.uk if the files are not received or cannot be opened. Temporary interruption of the store or download service does not create a right to redistribute, reproduce or obtain the product from an unauthorised source.


7. Single-project licence grant


Subject to payment and compliance with these terms, Barlings KWA grants the buyer a limited, non-exclusive, non-transferable licence to use the purchased product for the licensed project only.


For that project, the buyer may:


- use the detail and calculated value for design development, energy assessment, Building Regulations submissions and construction coordination, provided the required suitability checks have been completed;

- share the product with members of the licensed project's professional and delivery team who reasonably need it, including the client, architect or designer, energy assessor, engineer, contractor and Building Control body;

- reproduce relevant extracts in project-specific drawings, specifications, calculations and submissions, with the product reference or Barlings KWA identified where reasonably practicable;

- retain an archival copy with the project records.


Everyone receiving the product through the buyer must be told that it is licensed only for the identified project and must comply with the relevant restrictions in these terms.


8. Licence restrictions


Unless Barlings KWA agrees otherwise in writing, the buyer must not:


- use the product or its calculated value for another project, site or separately identified development;

- add the product to a general practice, office, product or calculation library for reuse;

- sell, sublicense, hire, publish, upload, publicly display or otherwise distribute the product;

- share the product with anyone who is not involved in the licensed project;

- remove or obscure copyright notices, product references, licence information or purchaser stamps;

- alter the calculated value, modelling assumptions or technical conclusions and present them as Barlings KWA's work;

- use the product to create or sell a competing standard-detail library, template or substantially derived commercial product;

- use the files or their contents to train, test or populate an artificial-intelligence system or machine-learning dataset without written permission;

- bypass download controls or assist another person to breach these terms.


A separate purchase or written licence is required for every additional project. Multi-project or practice licences may be available by written agreement.


9. Professional responsibility and implementation


The product must be reviewed and used by people with suitable competence for their role. The buyer remains responsible for project design, specification, coordination, regulatory submissions and ensuring that the construction information issued to others is complete and suitable.


The contractor and project team remain responsible for workmanship, sequencing, tolerances, substitutions, site conditions and building the junction in accordance with the verified project information. Barlings KWA is not responsible for differences between the purchased detail and the proposed or as-built construction that were not disclosed and agreed in writing.


A calculated Psi-value must not be considered in isolation from condensation risk, fire safety, structure, moisture, airtightness, durability, acoustics, buildability or other regulatory and technical requirements.


10. Standards, versions and updates


The calculation basis, conventions, software information and standards applicable to a product are those stated in that product's report or specification. The buyer must check that they are appropriate for the assessment method, jurisdiction and project stage in which the product will be used.


The licence covers the version supplied at the time of purchase. It does not automatically include future revisions, changes in regulation, revised manufacturer data or project-specific advice unless the product page expressly says otherwise.


If Barlings KWA identifies a material error in a supplied product, we may provide a corrected version, withdraw the affected version or advise that it should no longer be used. The buyer must act reasonably on that notice and pass it promptly to relevant members of the project team.


11. Intellectual property


Copyright and all other intellectual-property rights in the product remain with Barlings KWA Limited or the relevant rights owner. The buyer receives only the limited single-project licence stated in these terms. No ownership rights are transferred.


Purchaser identification or an email stamp may be applied to PDF files as a proportionate measure to identify the licensee and deter unauthorised distribution.


12. Prices, tax and payment


Prices are shown in the store before checkout. Applicable VAT or other sales tax will be displayed or included as stated during checkout. Payment is processed by Stripe through Payhip. Barlings KWA does not receive or store the buyer's complete payment-card details.


13. Consumer cancellation rights and immediate supply


This section applies where the buyer is acting as a consumer rather than wholly or mainly for business purposes.


Digital content is made available immediately after checkout. Before completing the order, the consumer will be asked to:


- expressly request that supply of the digital content begins during the 14-day cancellation period; and

- acknowledge that the statutory right to cancel will be lost once supply of the digital content begins.


Where that express consent and acknowledgement have been given, the change-of-mind cancellation right ends when download access is provided or the download begins, as applicable under consumer law. If the consumer does not give the required consent and acknowledgement, they should not complete an order for immediate digital delivery.


14. Refunds and statutory remedies


Because the product is digital content and access is supplied immediately, refunds are not normally provided merely because the buyer changes their mind, no longer needs the product, selected the wrong junction, or later finds that their project does not match the clearly stated product specification.


This does not affect statutory rights. Digital content supplied to a consumer must be of satisfactory quality, fit for a particular purpose made known and agreed where the law requires, and as described. If a product is faulty, corrupted, materially not as described or cannot be accessed, the buyer should contact william@barlingskwa.co.uk with the order details. We will investigate and, where appropriate, provide a replacement or correction, restore access, or provide another remedy required by law.


Business customers have no cancellation right after an order has been accepted, except where these terms expressly provide otherwise or Barlings KWA agrees in writing.


15. Liability


Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited. Consumer statutory rights are not affected.


If the buyer is a consumer, Barlings KWA is responsible for loss or damage that is a foreseeable result of breaching these terms or failing to use reasonable care and skill, but not for loss or damage that is not foreseeable. The products are supplied for professional construction-related use; Barlings KWA is not responsible to a consumer for business losses.


If the buyer is acting in the course of a business, then, to the fullest extent permitted by law:


- Barlings KWA is not liable for indirect or consequential loss, or for loss of profit, revenue, business, contracts, anticipated savings, opportunity, goodwill or data;

- Barlings KWA's total aggregate liability arising from or relating to an affected product, whether in contract, tort including negligence, breach of statutory duty or otherwise, is limited to the price paid for that product;

- Barlings KWA is not liable for use outside the licence, failure to carry out the required matching checks, unauthorised alteration, project changes, product substitutions, poor workmanship or differences in the as-built construction.


16. Privacy


Personal information is handled as described in the Barlings KWA Privacy & Cookies notice available through the store. Payhip and Stripe also process information under their own privacy notices.


17. Ending the licence


The licence ends automatically if the buyer materially breaches these terms, including by unauthorised reuse or distribution. On termination, the buyer must stop using the product and delete copies other than any copy that must lawfully remain in an existing licensed-project record. Ending the licence does not remove accrued rights or liabilities.


18. General terms


If any provision is found unlawful or unenforceable, the remaining provisions continue in effect. A delay in enforcing a right does not waive that right. No person other than the buyer and Barlings KWA has a right to enforce these terms. Authorised members of the licensed project team may exercise the permitted project use through the buyer but acquire no independent right to enforce the contract.


These terms and the product description form the agreement for the purchase. Any change must be agreed in writing by Barlings KWA. Updated store terms apply to future purchases and do not retrospectively alter an existing licence unless required by law or agreed with the buyer.


These terms are governed by the law of England and Wales. Business customers submit to the exclusive jurisdiction of the courts of England and Wales. Consumers retain any mandatory protections and rights to bring proceedings in a court permitted by applicable law.
