These Terms of Use and Sale (“Terms”) apply to the SENVORYN website, the AI Operating Profile Diagnostic, START HERE, and digital products supplied by AVRENOR Digital Systems Limited (“the Company”, “we”, “us” or “our”).

By using a SENVORYN service or purchasing a SENVORYN product, you agree to these Terms to the extent applicable to that service or purchase. If you do not agree, please do not use the relevant service or make a purchase.

1. What SENVORYN Provides

SENVORYN provides digital business-implementation resources designed to help businesses use AI with greater structure, human control and operational discipline.

The SENVORYN AI Business Growth OS™ consists of five publications:

• AI Business Growth OS™ — Core Playbook;
• AI Business Growth OS™ — Executive Guide;
• AI Business Growth OS™ — Action Guide;
• AI Business Growth OS™ — Implementation Workbook; and
• AI Business Growth OS™ — Prompt Vault.

These publications may be offered individually or together as the Complete Suite.

Unless an offer expressly states otherwise, purchasing a SENVORYN digital publication or suite does not include personal consulting, coaching, membership, a community, a course, implementation services or continuing professional support beyond the customer support described for the purchase.

The description displayed for a product or offer forms part of the information on which that purchase is made.

2. Business Use and Eligibility

SENVORYN products are business implementation resources intended for use by or for a business or organization.

If you purchase or use a SENVORYN  product on behalf of a business or other organization, you are responsible for ensuring that you have appropriate authority to do so.

You are responsible for deciding whether a SENVORYN product or service is suitable for your circumstances and for obtaining any professional advice that your circumstances require.

3. AI Operating Profile Diagnostic and START HERE

SENVORYN may provide free tools, including the AI Operating Profile Diagnostic and START HERE, to help users understand aspects of their current AI operating position and identify an appropriate starting point within the SENVORYN system.

These tools provide structured business guidance. They are not an independent audit or verification of your business, and their results are not legal, tax, accounting, investment, financial or other regulated professional advice.

They do not guarantee a particular business, operational, financial or AI outcome.

Personal information associated with these services is handled in accordance with the SENVORYN Privacy Policy.

4. Prices and Payment

Prices are displayed in the currency shown on the relevant product page or checkout. SENVORYN's current direct commercial offers may be priced in United States dollars.

The price presented to you at checkout is the price applicable to that purchase, subject to any taxes, charges or adjustments properly disclosed through the checkout process.

A purchase is confirmed when payment is successfully completed.

We use third-party commerce and payment providers, including Payhip and Paystack. Their applicable terms, privacy practices and processing requirements may also apply to your transaction.

Digital delivery following a successful purchase is governed by the SENVORYN Digital Delivery Policy.

5. Founding 100 Offer

Where SENVORYN makes the Founding 100 offer available, it is a limited commercial-validation offer for a cohort of 100 qualifying customers who purchase the Complete Suite at the stated Founding price.

A Founding 100 place arises only when a qualifying Complete Suite purchase is successfully completed. If that order is subsequently refunded, the place is not re-released as another Founding 100 place.

No review, testimonial, endorsement, case study or other promotional participation is required merely because someone purchases through the Founding 100 offer.

SENVORYN may invite feedback separately. We will seek appropriate permission before using an identifiable customer quotation, name, logo, testimonial or case evidence for promotional purposes.

6. Digital Delivery

SENVORYN digital products are supplied electronically unless a product page expressly states otherwise.

Access and delivery arrangements, including what to do if you do not receive access to a purchase, are governed by the SENVORYN Digital Delivery Policy.

7. Refunds and Withdrawal Rights

Refunds, purchase problems and applicable withdrawal arrangements are governed by the SENVORYN Digital Product Refund Policy.

Nothing in these Terms or in a SENVORYN policy excludes, restricts or limits any consumer right or remedy that cannot lawfully be excluded, restricted or limited.

Where applicable law gives you a statutory cancellation, withdrawal, refund or other remedy, that right continues to apply according to that law.

8. Licence and Permitted Use

Unless a particular product expressly provides otherwise, a SENVORYN digital publication is licensed to the purchaser for personal use and internal use within the purchaser's own business or organization.

Subject to the applicable publication's Rights & Purchaser Use provisions, you may use and adapt SENVORYN workflows, prompts, frameworks, checklists, worksheets and tools to develop materials and Business Assets for your own legitimate internal business or organizational use.

Your business information remains yours.

SENVORYN does not claim ownership of business-specific materials or outputs that you legitimately create through your use of a SENVORYN product merely because SENVORYN's system, workflows, prompts or tools assisted in creating them.

Your use remains subject to the restrictions in these Terms and the Rights & Purchaser Use provisions contained in the relevant publication.

9. What You May Not Do

Except where expressly permitted in the relevant publication or authorized in writing by the copyright owner, you may not substantially reproduce, distribute, republish, resell, sublicense or make SENVORYN protected material available to third parties.

You may not incorporate substantial SENVORYN protected material into a competing commercial product, course, publication or substantially equivalent commercial resource.

Nothing in these Terms prevents the legitimate internal use and adaptation expressly permitted under Section 8 and the relevant publication.

You must not use SENVORYN services or materials unlawfully, attempt to interfere with the security or proper operation of a SENVORYN service, or use the services in a way that unlawfully infringes the rights of SENVORYN, Avrenor Digital Systems Limited or another person.

10. SENVORYN Names and Brand

Names and identifiers including SENVORYN, AI Business Growth OS™, and associated SENVORYN product and system names identify SENVORYN and its products, services and system architecture.

Purchasing or using a SENVORYN product does not, by itself, grant you a right to reproduce, commercialize or otherwise use SENVORYN names, product identities, logos or other brand elements except as reasonably necessary for the legitimate use of the purchased product or as otherwise permitted by law or expressly authorized in writing by AVRENOR Digital Systems Limited.

11. Information, AI and Business Results

SENVORYN publications, tools and services provide general educational and business information. They are not a substitute for legal, tax, accounting, investment, financial or other regulated professional advice.

Artificial intelligence systems can produce inaccurate, incomplete, outdated or inappropriate outputs.

You remain responsible for:

• reviewing and verifying AI-generated or AI-assisted work;
• applying appropriate human judgement and approval;
• deciding whether an output is suitable for your circumstances;
• protecting confidential, sensitive and personal information;
• complying with laws, regulations, contracts and professional obligations applicable to you; and
• obtaining specialist professional advice where appropriate.

Examples, scenarios, projections and descriptions of potential benefits are illustrative. SENVORYN does not guarantee revenue, profit, cost savings, growth, productivity, return on investment or any other particular business result.

Your results depend on circumstances beyond our control, including your business, market, decisions, implementation and the capabilities and limitations of the technologies you use.

12. Third-Party Services

SENVORYN services may use or refer to third-party products and services, including AI systems, payment providers, commerce platforms, forms, email services, automation services and other technology providers.

Third-party products and services may change and may be subject to their own terms, privacy policies, availability, pricing, limitations and capabilities.

We do not control every aspect of a third-party service and cannot guarantee that a third-party service will remain available or operate in the same way indefinitely.

Where a third-party service is important to your business, you are responsible for considering that provider's applicable terms and suitability for your intended use.

13. Our Responsibility

Nothing in these Terms excludes or limits any liability, right or remedy that cannot lawfully be excluded or limited.

To the extent permitted by applicable law, AVRENOR Digital Systems Limited is not responsible for indirect, incidental or consequential loss arising from the use of SENVORYN digital products, publications, Diagnostic or START HERE, including loss resulting from business decisions made without appropriate independent verification or professional advice.

Where AVRENOR Digital Systems Limited is legally liable in connection with a paid digital product, and applicable law permits that liability to be limited, its aggregate liability arising from that purchase will not exceed the amount paid for the product giving rise to the claim.

This section does not affect any statutory consumer right or other right or remedy that cannot lawfully be excluded, restricted or limited.

14. Mandatory Legal Rights

Nothing in these Terms excludes, restricts or limits any statutory consumer protection, data-protection right or other legal right or remedy that cannot lawfully be excluded, restricted or limited.

If any provision of these Terms conflicts with a mandatory legal requirement that applies to you, the mandatory requirement will apply to the extent of that conflict.

The remaining provisions of these Terms will continue to apply to the extent permitted by law.

15. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, commercial arrangements, technology, operational requirements or applicable requirements.

The version applicable when you make a purchase will generally continue to govern that purchase.

Updated Terms may apply to future purchases and subsequent use of SENVORYN websites or services.

Where applicable law requires a different treatment, or a change is necessary for legal, security or operational reasons, we will act only to the extent permitted or required by applicable law.

The current version of these Terms will be made available through the relevant SENVORYN website or commerce service.

16. Governing Law and Disputes

These Terms are governed by the laws of the Federal Republic of Nigeria.

If a dispute arises, we encourage you to contact us first at support@senvoryn.com so that we can try to resolve the matter directly.

Subject to any mandatory rights or jurisdiction that apply under applicable law, disputes that cannot be resolved directly will be subject to the jurisdiction of the courts of Nigeria.

Nothing in this section deprives a consumer of any protection, remedy or forum that cannot lawfully be excluded by agreement.
