This licence explains how the purchasing business may use the Product. It does not remove or limit any right or remedy that cannot lawfully be excluded, including applicable rights under the Australian Consumer Law.
1. Licence grant
Subject to payment and compliance with this licence, the Licensor grants the purchaser a non-exclusive, non-transferable, perpetual licence for one purchasing business, being one legal entity or one individual sole trader, to:
• use the Product for the internal tender and bid activities of one legal entity;
• allow that entity’s employees and individual contractors to use the Product solely while working on that entity’s bids;
• make reasonable working copies for active bids and reasonable backup or archive copies; and
• modify input labels, lists, formatting or formulas for that entity’s internal use, at the purchaser’s own risk.
The licence is for that one purchasing business. Related companies, franchisees, clients, joint-venture participants and other separate businesses require their own licence unless the Licensor agrees otherwise in writing.
2. The purchaser’s own work
The purchaser retains its rights in:
• data it enters;
• tender responses and pricing it prepares;
• its business records, policies, case studies and evidence; and
• exports or reports containing that purchaser material.
This licence does not transfer ownership of the underlying workbook design, formulas, documentation or seller-created sample content.
3. Permitted collaboration
The purchaser may share a working copy with an employee or contractor who:
• needs access for the purchaser’s tender;
• is bound to protect the purchaser’s confidential information; and
• does not retain or reuse the Product for another business.
The purchaser is responsible for authorised users and for removing access when it is no longer required.
4. Prohibited use
The purchaser must not:
• resell, rent, sublicense, publish or distribute the Product or a substantially similar template;
• give a clean or reusable copy to a client, affiliate, joint-venture participant or other business;
• upload the Product to a public template gallery, shared resource library or publicly accessible link;
• create, reproduce, distribute or sell the Product itself, or a substantially similar reusable template derived from it, as a product, membership resource or third-party deliverable. This does not prevent the permitted internal use or the supply of final tender documents or static outputs expressly allowed below;
• remove or misrepresent ownership or licence notices;
• claim affiliation with or endorsement by the Queensland Government, the Commonwealth or any buying agency; or
• use the Product unlawfully or to mislead a buyer.
The purchaser may provide final tender documents, reports or static exports to a buyer where those outputs do not expose or distribute the reusable workbook itself.
5. Copies and modifications
The purchaser may create bid-specific copies and reasonable backups. Each reusable copy remains subject to this licence.
The purchaser may modify the workbook for internal use. Support may require the purchaser to reproduce an issue in an unmodified copy. The Licensor is not responsible for faults caused by altered formulas, removed validation, structural changes, unsupported software or third-party add-ins.
6. No transfer of tender responsibility
The Product is a workflow and calculation aid. The purchaser remains responsible for:
• confirming official notices, documents, addenda, eligibility and dates;
• deciding whether to bid;
• verifying claims, evidence, calculations, pricing, tax and approvals;
• protecting personal, commercial and security-sensitive information; and
• lodging a complete response in the required form before close.
No score, status, formula or dashboard indicator guarantees eligibility, compliance, evaluation outcome, contract award, revenue, savings, margin or profit.
7. Seller and no endorsement
The Product is supplied by REDFORMIO PTY LTD. It is not affiliated with, endorsed by or acting for the Queensland Government, the Commonwealth, VendorPanel or any buying agency.
8. Intellectual property and third-party material
The Licensor retains all rights in the Product except for the limited licence granted above.
Third-party names, links and public guidance remain the property of their respective owners. References to public agencies or portals are descriptive only and do not imply endorsement.
9. AI-assistance disclosure
Generative AI was used substantially to help design, draft and quality-check the Product and its documentation under the seller’s direction. Before publication, the seller reviewed and approved the released version and accepted responsibility for the Product.
The Product is not a bundle of AI prompts and does not provide access to an external AI service.
10. Updates and support
Purchase includes the version supplied at checkout and the support described in the accompanying FAQ.
Unless the listing expressly promises otherwise:
• future features or major versions are not included;
• REDFORMIO PTY LTD may release, revise or stop offering optional future updates, but this does not remove the purchaser's licence to the supplied version or limit any remedy required by law;
• support does not include tender writing, legal or tax advice, custom workbook development, portal submission or recovery of purchaser data.
A correction required to satisfy an applicable consumer guarantee will be handled in accordance with applicable law.
11. Consumer rights and remedies
Your rights under the Australian Consumer Law are not limited by this licence.
If the Product does not meet an applicable consumer guarantee, contact REDFORMIO PTY LTD at support@redformio.com.au with a description of the issue and reasonable proof of purchase. We may assess the Product before providing a remedy.
If there is a major failure, you may choose a refund or replacement. If there is a minor failure, REDFORMIO PTY LTD may choose to provide a free repair (which may include a corrected file), replacement or refund within a reasonable time. If a minor failure is not remedied within a reasonable time, you may have further rights under the Australian Consumer Law. You may also be entitled to compensation for reasonably foreseeable loss or damage.
We do not offer refunds solely because you changed your mind after the digital files were supplied, unless the marketplace policy or applicable law requires otherwise. This does not limit your rights under the Australian Consumer Law.
12. Disclaimer and liability
The Product’s stated function is internal tender workflow and calculation support. It is a general aid, not professional advice. The official tender documents and buyer instructions control.
To the extent permitted by law, the Licensor is not responsible for loss to the extent it is caused by:
• the purchaser’s failure to verify official documents, addenda, eligibility, dates, calculations, pricing, evidence or approvals;
• inaccurate, incomplete or outdated purchaser inputs;
• purchaser or third-party modifications, unsupported software or third-party add-ins;
• use of the Product outside its stated function; or
• failure to lodge through the required portal and method before the buyer’s deadline.
Nothing in this clause excludes, restricts or modifies the Australian Consumer Law or any other right, remedy or liability that cannot lawfully be excluded, restricted or modified. This clause does not excuse the Licensor from responsibility to the extent a loss is caused by the Licensor’s breach of an applicable legal obligation.
13. Termination
The licence ends if the purchaser materially breaches it and does not remedy that breach after written notice where the breach can be remedied.
On termination, the purchaser must stop using and distributing reusable copies of the Product. Termination does not require deletion of static tender submissions already lodged with buyers.
14. Governing law
This licence is governed by the laws of Queensland, Australia, subject to any mandatory law that applies to the purchase.
