1. Grant of License

This Agreement is between The Given Garden (“The Artist”) and the purchasing organization (“The Licensee”). Upon payment of the license fee, the Artist grants the Licensee a non-exclusive, non-transferable, perpetual (lifetime) right to print and distribute the coloring pages included in the purchased bundle, subject to the terms below.

2. Scope of Use (Physical Distribution)

• Single Location: This license is valid for use by one (1) physical location or branch. Organizations with multiple sites must purchase a separate license for each location.
• Unlimited Physical Printing: The Licensee may print an unlimited number of copies for use by their specific staff, clients, patients, or community members.
• Third-Party Printing: The Licensee is permitted to use a professional third-party printing company to produce physical copies for the organization’s use.
• Permitted Distribution: Pages must be distributed in printed format only. They may be used on-site or included in physical "take-home" wellness bundles, community lunch bags, or care packages.

3. Prohibited Use (Digital & Commercial Restrictions)

• No Digital Distribution: The Licensee may not upload the digital files to any public website, social media platform, or internal intranet. Digital files may not be emailed or redistributed to members or the public.
• No Resale: The artwork (individual pages or bundles) may not be sold for profit.
• No Fundraising: This license does not permit the use of the artwork for fundraising activities (e.g., selling a booklet of pages to raise money). A separate Fundraising License is required for such purposes.
• No Derivative Works: The artwork must be used in its entirety as a coloring page. Extracting characters, botanicals, or elements for use in other designs, marketing materials, or logos is strictly prohibited.

4. Branding & Customization

If the Branding Upgrade was purchased, the Artist will provide files with the Licensee's logo professionally integrated. The Licensee may not add their own branding, crop out the Artist’s copyright notice, or alter the artwork in any way.

5. Ownership & Termination

• Copyright: The Given Garden retains all intellectual property rights and copyrights to the artwork.
• Termination: The Artist reserves the right to terminate this license if any terms are breached. Upon termination, the Licensee must immediately cease all printing and distribution and delete all digital copies of the artwork.

6. Limitation of Liability

The digital files are provided “as is.” The Artist is not responsible for any technical issues, third-party printing costs, or damages resulting from the use or printing of the digital files.
